EXHIBIT "B" <br />CONTRACT FOR PROVISION OF LEGAL SERVICES <br />THIS AGREEMENT is entered into by and between the City of <br />Springfield, a municipal corporation of the state of Oregon, <br />(City) and Thorp, Dennett, Purdy, Golden & Jewett, P.C., <br />(Attorney). <br />IN CONSIDERATION of the mutual covenants and conditions set <br />forth herein, the parties agree as follows:. <br />I. SCOPE OF LEGAL SERVICES: Attorney will provide legal <br />services to City in three (3) general areas: General <br />Administration, Design and Construction Activities and <br />Litigation/Arbitration. <br />A. General Administration: Services to be provided for <br />General Administration shall cover the following: <br />(1) Attending regular and special meetings of MWMC; <br />(2) Advising City on matters related to procedure, open <br />meetings, public records and municipal audit laws for MWMC; <br />(3) Drafting resolutions for MWMC; <br />(4) Reviewing and/or drafting contracts between MWMC <br />and the governing bodies or other public and quasi-public <br />entities; <br />(5) Advising City regarding the application of Oregon <br />Public Contracting law for non-federally funded contracts for <br />MWMC; <br />(6) Reviewing proposed changes in federal and state <br />regulations governing the Sewage Treatment Works Construction <br />Grants Program; <br />(7) Reviewing DEQ's annual priority list; <br />(8) Representing MWMC before DEQ and EQC in annual <br />Priority List hearings; <br />(9) Attending pre-bid and/or pre-construction <br />conferences; <br />(10) Attending bid openings; <br />(11) Attending weekly project review meetings; <br />(12) Reviewing and advising City regarding contracts <br />and amendments to MWMC's contracts with consultants; <br />Page 1 - CONTRACT FOR PROVISION OF LEGAL SERVICES <br />
