Intergovernmental Agreement (2009-2010) <br /> Lane County and City of Eugene -Pavement Preservation Project <br /> Manhole Adjustments (Lancaster Drive M.P. 0.00 to M.P. 0.16) <br /> Page 2 <br /> Notices <br /> Any notices permitted or required by this agreement shall be deemed given when personally <br /> delivered or upon deposit in the United State mail, postage fully prepaid, certified, return receipt <br /> requested, and addressed to the representative designated under Contract Administration. <br /> above. Either party may change its address by notice given to the other in accordance with this <br /> paragraph. <br /> Hold-Harmless and Indemnification Reauirements <br /> To the extent allowable by the Oregon Constitution and limitations of the Oregon Tort Claims <br /> Act, each of the parties hereto agree to indemnify and save the other harmless from any claims, <br /> liability or damages resulting. from any error, omission or act of negligence on the part of the <br /> indemnifying party, its officers, agents or employees relative to the responsibilities of the <br /> indemnifying party in performance of this agreement. <br /> Insurance Requirements <br /> <br /> As empowered by ORS 30.260 through 30.300, as specifically by ORS 30.282, COUNTY has <br /> chosen to beself-insured. CITY, its employees, officials, and agents will be named as <br /> additional insureds with respect to work or services performed under this. agreement. This will <br /> apply to both work in progress and completed operations. This insurance will be primary over <br /> any insurance CITY may carryon its own. COUNTY shall provide and maintain workers' <br /> compensation coverage for its employees, officers, agents, or partners, as required by <br /> applicable workers' compensation laws. <br /> COUNTY shall be responsible for any loss, damage or destruction of its own property, <br /> equipment and materials used in conjunction with the work. <br /> COUNTY shall require subcontractors, if any, to provide and maintain general liability, auto <br /> liability, professional liability (as applicable), and workers' compensation insurance with <br /> coverages equivalent to those required of the Consultant on this agreement. COUNTY shall <br /> require certificates of insurance from all subcontractors as evidence of coverage. <br /> Subcontracting <br /> COUNTY shall not subcontract work under this agreement, in whole or in part, without CITY'S <br /> prior written approval COUNTY shall require any approved subcontract to agree, as to the <br /> portion subcontracted, to comply with all obligations of COUNTY specified in this agreement. <br /> Notwithstanding CITY'S approval of a subcontractor, COUNTY shall remain obligated for full <br /> performance of this agreement and CITY shall incur no obligation to any subcontractor. <br /> COUNTY shall indemnify, defend, and hold CITY harmless from all claims of its contractors. <br /> Assignment <br /> COUNTY shall not assign this agreement, in whole or in part, or any right or obligation <br /> hereunder, without CITY'S prior written approval <br /> <br />
