(f) The Board agrees to: <br /> i) Participate in the public process to develop and adopt along-term management <br /> plan for the Property. <br /> ii) Facilitate integration of the Board's mission into OPRD's long-term management <br /> plan for the Property. <br /> iii) Ensure timely consideration of the proposed management plan by the Board. <br /> iv) Not unreasonably withhold concurrence with OPRD's management plan for the <br /> Property. <br /> (g) OPRD also agrees to do the following: <br /> i) Submit a copy of the final title documents for the property after acquisition by <br /> <br /> j OPRD to the Board by November 1, 2000. <br /> ii) Provide documentation to the Board of the contribution of $1,917,500 towards the <br /> purchase of the Property by OPRD and the Federal Highway Administration. <br /> iii) Provide a sign on the project site, and notice on any technical, educational or <br /> .__________informatonal_materal_produced for the_site, that_funding_was._pro_v_ided b__y_the_____________________ <br /> ----------------------------Board.---- <br /> _ 'v)-Include-a-discussion-ofthe-benefits-the-estuary-provides-to-both-wildlife-and-thE <br /> overall health of the watershed on at least one interpretive sign on the Property. <br /> The Board shall pay OPRD $917,500 for performance of this agreement. This shall be the <br /> sole monetary obligation of the Board. This payment shall be made to escrow account <br /> number 373876X at the Oregon Title Insurance Company within two weeks after both <br /> parties have signed this agreement. <br /> 4. Amendments <br /> The terms of this agreement shall not be waived, altered, modified, supplemented, or <br /> amended, in any manner whatsoever, except by written instrument signed by both parties. <br /> 5. Termination <br /> (a) This agreement may be terminated by mutual consent of both parties. <br /> (b) The Board may terminate this agreement effective upon delivery of 30 days written <br /> notice to the technical representative of OPRD if OPRD fails to perform the work <br /> specified herein, or so fails to pursue the work as to endanger performance of this <br /> agreement in accordance with its terms, and after receipt of written notice from the Board, <br /> fails to correct such failures within thirty (30) days from date of notice, or such longer <br /> period as the Board may authorize. <br /> _ _ <br /> <br />
