Award SummaryPage 30 of 33 <br /> <br /> <br /> <br /> <br />(Signature of Authorized Signer) (Date) <br /> <br /> <br /> <br />(Printed Name & Title of Authorized Signer) <br /> <br /> <br /> <br /> <br />OREGON COOPERATIVE PURCHASING PROGRAM ADDENDUM <br /> <br /> <br /> <br />This Oregon Cooperative Purchasing Program Participant Addendum ("ORCPP <br /> <br />Participant Addendum") is entered into, by and between U.S. Bank National Association ND <br /> <br />("U.S. Bank"), by and on behalf of its wholly owned subsidiary, Voyager Fleet Systems Inc. <br /> <br />("Voyager") (collectively referred to herein as "Contractor" and the Oregon Cooperative <br /> <br />Purchasing Program Participant(s) ("ORCPP Participant(s)") identified herein and executing <br /> <br />this ORCPP Participant Addendum as ORCPP Participant, and constitutes an addendum to and <br /> <br />modification of the Price Agreement dated ________________, 2008 (the "Price Agreement") <br /> <br />between the State of Oregon (the "State") and Contractor This ORCPP Participant Addendum <br /> <br />shall become effective upon signing by or on the behalf of Contractor ("Effective Date") <br /> <br />and supersedes any previous and like addenda with the ORCPP Participant. <br /> <br /> <br /> <br />RECITALS <br /> <br /> <br />A. The State has entered into the Price Agreement for the purpose of making <br /> <br />available a Voyager fleet card program as described in the Price Agreement for use by the <br /> <br />State Agencies and ORCPP Participants; <br /> <br /> <br />B. The State is willing to permit ORCPP Participants to participate in the fleet <br /> <br />card program, provided that ORCPP Participant assumes all responsibility and liability for <br /> <br />ORCPP Participant's performance of the terms and conditions of the Price Agreement as if <br /> <br />ORCPP Participant was the entity signing the Price Agreement as the State. The State of <br /> <br />Oregon shall bear no liability or responsibility for ORCPP Participant under the Price <br /> <br />Agreement or this ORCPP Participant Addendum; and <br /> <br /> <br />C. ORCPP Participant has received a copy of the Price Agreement from the State, and <br /> <br />after a thorough review of the Price Agreement, desires to become a ORCPP Participant; <br /> <br />provided that ORCPP Participant assumes all responsibility and liability for ORCPP <br /> <br />Participant's performance of the terms and conditions of this ORCPP Participant Addendum, <br /> <br />as well as the Price Agreement, as if ORCPP Participant was the entity signing the Price <br /> <br />Agreement as the State, but ORCPP Participant shall not be liable for the acts and <br /> <br />omissions of the State under the Price Agreement or this ORCPP Participant Addendum. <br /> <br /> <br />AGREEMENT <br /> <br /> <br />Now, therefore, in consideration of the foregoing Recitals, which are incorporated herein <br /> <br />by reference, the mutual promises and covenants set forth in the Price Agreement, which are <br /> <br />incorporated herein by reference, and other good and valuable consideration, the receipt <br /> <br />and sufficiency of which are hereby acknowledged, all parties agree as follows: <br /> <br /> <br />1. Capitalized terms used in this ORCPP Participant Addendum and not otherwise <br /> <br />defined in this ORCPP Participant Addendum are used with the same respective meanings <br /> <br />attributed thereto in the Price Agreement. <br /> <br /> <br />2. ORCPP Participant agrees to accept and perform all duties, responsibilities and <br /> <br />obligations required under the Price Agreement as such relates to ORCPP Participants as set <br /> <br />forth in the Price Agreement. Cards shall be issued to designated employees of ORCPP <br /> <br />Participant upon execution of this ORCPP Participant Addendum by ORCPP Participant and <br /> <br />Contractor <br /> <br /> <br />3. In order to determine credit qualifications for the ORCPP Participant, the ORCPP <br /> <br />Participant shall provide Contractor with the last three (3) years of audited financial <br /> <br />statements with this signed ORCPP Participant Addendum. The ORCPP Participant shall <br /> <br />provide to Contractor annual financial statements thereafter. Contractor will review the <br /> <br />financial statements and notify the ORCPP Participant of the approval or decline of its <br /> <br />credit qualification. If such financial statements can be independently obtained by <br /> <br />Contractor, the ORCPP Participant will not be required to provide such financial statements. <br /> <br /> <br />4.
