Subject to credit approval by Contractor, a Card Credit Limit (a "CCL") for each Card and an Aggregate Credit Limit (the "ACL") for all Cards shall be established by Contractor. A. Revising the ACL. Contractor, at its sole discretion, shall have the right to revise the ACL. Contractor shall provide notice to ORCPP Participant of any decrease in the ACL which results in a revised ACL that is lower than the aggregate current amount outstanding on all Cards. Upon such event, ORCPP Participant shall have forty-five (45) days to make a payment to Contractor that is sufficient to reduce the aggregate current amount outstanding to an amount that is equal to or less than the revised ACL. B. Revising CCLs. Contractor, at its sole discretion, shall have the right to revise any CCL and/or limit spending activity on ORCPP Participant Card(s) issued under the Price Agreement. Also, Contractor may temporarily revise any ACL and/or limit spending activity on ORCPP Participant Card(s) issued under the Price Agreement for which fraudulent activity is suspected. 5. All Cards shall be set up and maintained pursuant to the Price Agreement terms and conditions and the Voyager fleet card program policies and procedures. Disputes regarding Account Charges or invoices must be communicated to Voyager in writing and must be received by Voyager within sixty (60) days after the date on the invoice on which the disputed or incorrect Account Charge first appeared. Any Card with an outstanding balance greater than ninety (90) days may be subject to suspension and/or cancellation. 6. ORCPP Participant shall make payment to Contractor for all Debt incurred by ORCPP Participant, its Cardholders and Accountholders as provided in the Price Agreement. "Debt" means all amounts charged to a card and/or account issued under the Price Agreement including without limitation all amounts related to purchases, fees and other Charges that are owed to Contractor by ORCPP Participant, its Cardholders and Accountholders. 7. ORCPP Participant declares that cards shall be used for official ORCPP Participant purchases only, and shall not be used for individual, consumer purchases or to incur consumer debt. ORCPP Participant warrants that it possesses the financial capacity to perform all of its obligations under the Price Agreement and this ORCPP Participant Addendum. 8. The representations, warranties and recitals of ORCPP Participant set forth in this ORCPP Participant Addendum and the Price Agreement constitute valid, binding and enforceable agreements of ORCPP Participant. All extensions of credit made pursuant to this ORCPP Participant Addendum and the Price Agreement to ORCPP Participant will be valid and enforceable obligations of ORCPP Participant and ORCPP Participant shall pay to Contractor, respectively, all Debts incurred by ORCPP Participant under the Price Agreement in accordance with the terms of the Price Agreement and this ORCPP Participant Addendum. The execution of this ORCPP Participant Addendum and the performance of the obligations hereunder and under the Price Agreement are within the power of ORCPP Participant, have been authorized by all necessary action and do not constitute a breach of any agreement to which ORCPP Participant is a party or is bound. 9.
