Exhibit L <br /> SOFTWARE RIGHTS, COPYRIGHTS, AND RIGHTS IN DATA <br /> RJN shall maintain complete ownership and proprietary rights with regard to software programs other <br /> than third party programs used or developed as part of this Agreement. The software programs <br /> provided by RJN are subject to the specifics of the Program License Agreement provided at the time <br /> of delivery of software programs. <br /> RJN reserves the right to use for any purpose any programming tools, skills, and techniques acquired <br /> or used by RJN in the performance of the services herein. Nothing in this Agreement shall be <br /> construed as restraining RJN, its employees, agents, or subcontractors in the use of the techniques <br /> and skills of computer programming and design which may be acquired in the course of performance <br /> of this Agreement, or providing the City with any rights in RJN proprietary programs in which the <br /> City programs may be written. <br /> The City retains right in the databases developed and/or modified by RJN in performing the services <br /> under this Agreement. Notwithstanding the foregoing, RJN retains the right to use the database in <br /> digital form for any business purposes. <br /> RJN shall deliver to the City one (1) copy of products prepared under the terms of this Agreement for <br /> delivery to the City. Originals of design and study notes, calculations, correspondence and similar <br /> material not including proprietary computer software related information will be filed by RJN and <br /> made available to the City on request at copy cost. <br /> The ownership of all data supplied to RJN by the City and all data derived by RJN during the Project <br /> including survey data, maps, non - graphical data tapes, and any other data related to the Project will <br /> remain with the City. <br /> The City will be offered a software maintenance agreement with RJN after an initial one year of <br /> warranty support. Hardware, system software, and any third party software will require separate <br /> maintenance agreements. <br /> -L1- <br />
