Exhibit M <br /> SALES TAX AND PERSONNEL UNDERSTANDING <br /> The City is exempt from payment of Sales and Use Taxes. City will provide an exemption certificate <br /> to RJN. RJN shall not be exempted from paying sales tax to their suppliers for products used to <br /> fulfill contractual obligations unless such products are deliverable products to the City. It is hereby <br /> mutually agreed that the City will not solicit, hire, or contract with any employee(s) of RJN who are <br /> associated with efforts called for under this Agreement during the term of this Agreement and for a <br /> period of one (1) year thereafter. In the event the foregoing provision is breached, liquidated <br /> damages equal to twelve (12) months of employee's compensation plus any legal expenses associated <br /> with the enforcement of this provision shall be paid by the City to RJN. <br /> -Ml- <br />
