erally depicted on Attachment "A" hereto including <br /> necessary storm drains, paving, curbs, gutters, side- <br /> walks, on- street bike lanes, center medians, street <br /> lights, and landscaping. <br /> 5.3 PROJECT includes: performing the activities and mak- <br /> ing the improvements to the LEO HARRIS PARKWAY. <br /> 5.4 Road- related means: expenses qualifying for expendi- <br /> ture from COUNTY'S Road Fund as specified in ORS <br /> 368.722. <br /> 5.5 Major Event Days means: days on which an event occurs <br /> at Autzen Stadium such as a football game, concerts, <br /> tractor pulls or other events, which charges for park- <br /> ing on the lots. <br /> 6. CITY authorizes entry on CITY owned real property and con- <br /> sents to COUNTY activities and the improvements to the LEO HARRIS <br /> PARKWAY. <br /> 7. The term of this agreement commences upon the date of the <br /> final execution and all but paragraphs 8, 17, 20 and 21 shall termi- <br /> nate upon final acceptance of the PROJECT by COUNTY. Paragraphs 8, <br /> 17 20 and 21 shall continue in perpetuity, and may only be revised <br /> or eliminated by mutual consent of the parties. <br /> 8. To the extent allowed by the Oregon Constitution the par- <br /> ties hereto agree to indemnify and save harmless the other party, its <br /> officers, agents, or employees, from any claims, liabilities, or dam- <br /> ages resulting from any error or omission and /or negligence of the <br /> indemnifying party, its officers, agents or employees relative to the <br /> responsibilities of the indemnifying party under this agreement. <br /> COUNTY SHALL: <br /> 9. Survey, design, acquire right -of -way, acquire permits, pre- <br /> pare plans and specifications, call for bids, and award and adminis- <br /> ter the construction contract for PROJECT, which consists of street <br /> improvements having traffic carrying capacity and characteristics as <br /> generally depicted on- Attachment "A" and including necessary on <br /> street bike lanes, curbs, gutters, sidewalks, street lighting, land- <br /> scaping and storm drainage. <br /> 10. Consult with CITY for review and approval of plans during <br /> the design process for PROJECT, which approval shall not be unreason- <br /> ably delayed or withheld. <br /> 11. Process requests to replace COUNTY and CITY land used for <br /> PROJECT and subject to Land and Water Conservation Fund conversion <br /> requirements with land of equivalent value pursuant to Section <br /> 2 - INTERGOVERNMENTAL AGREEMENT <br /> (County /City - Leo Harris Parkway) bcj /5817 <br />
