separate Program Management A[a]greement. The separate agreement will specify the conditions <br /> under which City will provide a project manager. <br /> Section 2: Length of Agreement. <br /> 2.1 Original Term. The term of this Agreement shall commence on the date of this <br /> Agreement and continue for a period of thirty (30) years, unless terminated as provided in <br /> section 12. <br /> 2.2 [1-2} Ten Year Review. [ - <br /> nccdcd by ] City and District shall review this Agreement at least once every ten (10) years and <br /> modify it as they mutually agree to be appropriate. <br /> 2.3 Renewal. After thirty (30) years the parties intend to continue the agreement on <br /> terms to be mutually agreed upon. <br /> Section 3. Investment <br /> 3.1 City. City's investment shall be $4 million, to include "hard" and "soft" costs and <br /> in - kind contributions for design, permitting fees, testing, construction administration, project <br /> management, construction, and related costs. <br /> 3.2 [2:2] District. District' s investment shall be at least $3.5 million [plus up to] . In <br /> addition, District will invest up to $1.1[+] million [-in ] it may receive in donations in the form <br /> of cash, materials, or labor[ donations], plus costs associated with project and financial <br /> management. <br /> 3.3 Associated Costs. City's investment shall not support costs associated with <br /> spectator seating [for - 1,000], sound systems, score boards, goal posts, and fencing for the artificial <br /> surface field, ticket booths, and emergency access routes to the artificial surface fields. <br /> 3.4 City and District agree to allocate costs as described in sections 1 -6 of the Youth <br /> Sports Park Program Management Agreement attached hereto as Appendix B. <br /> Section 4.
