A simple majority of the Executive Board shall constitute <br /> a quorum for the transaction of all business of Emerald Valley BMX. <br /> ARTICLE VII. EXECUTIVE BOARD <br /> SECTION A: Composition. The Executive Board shall be composed of the President/ <br /> ( <br /> Track Operator. the Vke President, the Track Coordinator, the Secretary, and the <br /> Treasurer. <br /> SECTION B: Authority. The Executive Board shall have general supervision of the <br /> affairs of the corporation between baseness meetings and shall perform such duties as <br /> prescribed by these bylaws. The Executive Board must report all activities at the next <br /> business meeting. <br /> SECTION C. Absence. Six (6) unexcused absences from regular meetings shall <br /> constitute inactivity and grounds for automatic removal from the Executive Board. <br /> Reasonable excuses shall be determined by the PresidenuTrack Operator. <br /> SECTION D: Compensation. No member of the Executive Board shall receive <br /> compensation for services performed as part of their elected position. <br /> SECTION E: Creation of Committees. The Executive Board shall have the authority <br /> to create any special committee which it deems necessary. <br /> ARTICLE VIII. STANDING COMMITTEES <br /> SECTION A: The following standing committees may be elected. appointed or <br /> • volunteered for at any business meeting: Butch Alley Memorial Sponsorship, <br /> Governors Cup, Registration, Awards Banquet, Bylaws, and Elections. <br /> SECTION 8: Duties of Standing Committees. All standing committees shall <br /> coordinate their activities and keep the President/Track Operator advised of all <br /> activities. <br /> 1. Butch Riley Memorial Sponsorship. At a business meeting in <br /> August, 1991, the membership voted that 2% of Emerald Valley BMX'■ annual gross <br /> revenue shall be allocated to fund this sponsorship. <br /> 2. Governors Cup. This committee shall be formed with members of <br /> the participating tracks. These person shall organize, appoint sub committees. order <br /> awards and other such services as deemed necessary to orgy, Promote and run the <br /> Annual Governor's Cup races. <br /> 3. Registration. The registration committee shall be responsible for <br /> registering all racers at each race, consulting with the President/Track Operator for <br /> compiling moto sheets, keepins official scores of races, and shall become conversant <br /> with the rules of the sanctioning organization. <br />
