ARTICLE VI. MEETINGS AND QUORUMS <br /> SECTION A: Meetings. <br /> I. Regular Meetings of Emerald Valley BMX shall be held the third <br /> Tuesday of every month excluding the month of December. The <br /> location is to be announced on a regular basis at the track. <br /> 2. Special meeting may be called by a majority of the Executive Board. <br /> 3. An Emergency Executive Board meeting can be called by any <br /> Executive Board member. At least three Executive Board members <br /> must be present at this meeting. <br /> SECTION B: Quorum. A simple majority of the 5 member Executive Board shall <br /> constitute a quorum for the transaction of all business of Emerald Valley BMX. <br /> ARTICLE VII. EXECUTIVE BOARD <br /> SECTION A: Composition. The Executive Board shall be composed of the Track <br /> Operator, the President, the Vice President, the Secretary, and the Treasurer. <br /> SECIION B: Authority. The Executive Board shall have general supervision of the affairs <br /> of the corporation between business meetings and shall perform such duties as prescribed <br /> by these bylaws. The Executive Board must report all activities at the next business meeting. <br /> SECTION C: Absence. Six (6) total absences or 3 consecutive absences from regular <br /> meetings shall constitute inactivity and grounds for automatic removal from the Executive <br /> Board. <br /> SECTION D: Failure to Perform Duties. Any Executive Board member who fails to <br /> perform his/her duties as outlined in Article V, Sections L and M may be removed from <br /> office by a unanimous vote of the remaining Executive Board members. <br /> SECTION E: Compensation. No member of the Executive Board shall receive <br /> compensation for services performed as part of their elected position. <br /> SECTION F: Creation of Committees. The Executive Board shall have the authority to <br /> create any special committee which it deems necessary. <br /> SECTION G: Vacancies on the Executive Board occurring for any reason shall be filled by <br /> appointment. A majority of the remaining Executive Board members shall make the <br /> appointment from nominations made by any Executive Board member. <br /> 5 <br />
