• <br /> (including all engineering and topographical features and characteristics), landscaping <br /> (including plant species, number and size and irrigation), and servicing requirements (such as <br /> trash areas, emergency access and portable toilet pads). <br /> 1.2.2 Prior to commencement of development and construction of the Fields, <br /> District shall submit to City, for City's approval, a proposed Project schedule and Project <br /> budget, which shall include all Project costs, with separate line items for all hard and soft <br /> costs, including design, permitting fees, testing, and construction administration, project <br /> management, and construction. <br /> Section 2: Length of Agreement <br /> 2.1 Original Term. The term of this Agreement shall commence on the date of this <br /> Agreement and continue for a period of thirty (30) years, unless terminated as provided in <br /> Section 12. <br /> 2.2 Annual and Ten Year Reviews. City and District shall review Appendix B at least <br /> once each year and this entire Agreement at least once every ten (10) years. City and District may <br /> modify either or both documents, as applicable, as the parties mutually agree to be appropriate. <br /> 2.3 Renewal. After thirty (30) years, the parties intend to continue the Agreement on <br /> terms to be mutually agreed upon. <br /> Section 3: Payment of Project Costs <br /> 3.1 City. City shall pay up to fifty percent (50 %) of total Project costs, but no more than <br /> Two Million Dollars ($2,000,000), for the following: design, permitting fees, testing, <br /> construction administration, project management, and construction costs. City's payment shall <br /> be applied to Project costs associated with site preparation, construction and installation of <br /> artificial turf, lighting systems, fencing, soccer goals, football goal posts, limited spectator <br /> seating and portable restroom pads. City's payment shall not be applied to Project costs <br /> associated with sound systems, score boards, concessions stands, permanent restrooms, ticket <br /> booths, storage facilities, and related sports equipment for the Fields. District and City shall <br /> share in the cost for additional entry way(s) and/or pedestrian pathway(s) made necessary by <br /> increased use of the artificial turf fields at Willamette High School and Meadow View School. <br /> 3.2 District. District shall pay at least fifty percent (50 %) of total Project costs. <br /> Section 4: Ownership <br /> City and District agree that District shall own the Fields located on District property and City <br /> shall own the Fields located on City property. <br /> Intergovernmental Agreement 2008 - 01034: Joint Use And Development of Artificial Turf Athletic Fields <br /> Page 2 of 10 May 9, 2008 <br />
