0 0 <br />EXHIBIT B <br />SPRINGFIELD/EUGENE TRAFFIC SIGNAL <br />MAINTENANCE AGREEMENT <br />CITY OF SPRINGFIELD Services: <br />SPRINGFIELD'S performance of the following services will depend upon the availability of <br />SPRINGFIELD personnel, equipment and inventory of traffic signal parts: <br />1. Upon request of EUGENE, SPRINGFIELD may provide all necessary labor, equipment <br />and materials to repair traffic signals within the City of Eugene. This agreement is <br />intended to be an "as needed" and "as available" understanding between the parties. <br />EUGENE may request SPRINGFIELD'S service under this agreement but <br />SPRINGFIELD is not obligated to perform any request until it agrees to do so. <br />2. When contracted by EUGENE, SPRINGFIELD shall indicate the time, frame within which <br />the requested repair can be accomplished based on the availability of SPRINGFIELD'S <br />employees and equipment. If EUGENE considers SPRINGFIELD'S ability to respond <br />unsatisfactory, EUGENE may seek another means by which to perform the repair. <br />3. When services are provided a representative of EUGENE shall be present to provide <br />assistance and oversee work. This representative shall have the authority to approve <br />the work on behalf of EUGENE. All repairs are to be performed to EUGENE'S <br />specifications and to the reasonable satisfaction of EUGENE representative. <br />4. SPRINGFIELD shall be responsible for job site safety including providing all necessary <br />signing, coning and other related tasks for work safety consistent with accepted traffic <br />engineering safety standards. <br />5. SPRINGFIELD shall within 30 days of acceptance of the work by EUGENE, submit to <br />EUGENE an invoice for all work performed at SPRINGFIELD'S cost which includes an <br />itemization of labor, equipment, materials and, when necessary, other additional costs. <br />6. When receiving services from EUGENE, SPRINGFIELD shall pay EUGENE within 30 <br />days in the absence of a bona fide dispute regarding the billing. <br />
