• EXHIBIT A 0 EUGENE/SPRINGFIELD TRAFFIC SIGNAL MAINTENANCE AGREEMENT CITY OF EUGENE Services: EUGENE'S performance of the following services will depend upon the availability of EUGENE personnel, equipment and inventory of traffic signal parts: Upon request of the SPRINGFIELD, EUGENE may provide all necessary labor, equipment and materials to repair traffic signals within the City of Springfield. This agreement is intended to be an "as needed" and "as available" understanding between the parties. SPRINGFIELD may request EUGENE'S service under this agreement but EUGENE is not obligated to perform any request until it agrees to do so. 2. When contracted by SPRINGFIELD, EUGENE shall indicate the time frame within which' the requested repair can be accomplished based on the availability of EUGENE'S employees and equipment. If SPRINGFIELD considers EUGENE'S ability to respond unsatisfactory, SPRINGFIELD may seek another means by which to perform the repair. i 3. When services are provided a representative of SPRINGFIELD shall be present to provide assistance and oversee work. This representative shall have the authority to approve the work on behalf of SPRINGFIELD. All repairs are to be. performed to SPRINGFIELD'S specifications and to the reasonable satisfaction of the SPRINGFIELD representative. 4. EUGENE shall be responsible for job site safety including providing all'Inecessary signing, coning and other related 'tasks for work safety consistent with accepted traffic engineering safety standards. 5. EUGENE shall within 30 days of acceptance of the work by SPRINGFIELD, submit to SPRINGFIELD an invoice for all work performed at EUGENE'S costwhich>includes an itemization of labor, equipment, materials and , when necessary, other additional costs. 6. When receiving services from SPRINGFIELD, EUGENE shall pay SPRINGFIELD within' 30 days in the absence of a bona fide dispute regarding the billing.
