This MOU does not provide <br />such authority. Specifically, this MOU does not establish authority for noncompetitive <br />award to the cooperator of any contract or other agreement. <br />Other Terms and Conditions: <br />1. Indemnification Each party to this MOU shall assume the risk of, be liable for, and pay all <br />damages, loss, cost, and expense of its officers, officials, employees, and agents arising out of any <br />action performed or not performed while acting in good faith within the scope of this agreement. <br />2. Term and Modifications This MOU shall be effective when executed by all parties and shall <br />expire on September 30, 2015. The MOU may be extended or amended with mutual agreement of <br />the CITY, TNC, and BLM by the issuance of a written modification, signed and dated by all parties <br />prior to any changes being performed. <br />3. Termination Nothing in this MOU shall obligate any party to spend funds or expend resources. <br />Any such obligation shall be set forth by separate written agreement between the parties sought to <br />be obligated. Each party to this MOU may terminate its participation in this MOU upon ninety <br />(90) days prior written notice delivered to the other parties. <br />4.
