Exhibit D - Option to Renew. <br />Parkview Place Building <br />Real Property Lease <br />There is hereby granted an option to extend the original Term of this Lease for two (2) additional <br />periods comprised of five (5) years each, ("Renewal Option") commencing on the day following <br />expiration of the preceeding term. The Renewal Option(s) herein granted are expressly contingent <br />upon all of the following conditions precedent being satisfied: <br />(a) Tenant shall not be in material default under any of the terms and conditions of this Lease; <br />(b) Tenant shall not have assigned this Lease or any interest therein or sublet (or otherwise <br />permitted occupancy by any third party of) all or any portion of the Leased Premises during <br />the original Term of this Lease regardless of whether Landlord shall have consented to any <br />such assignment, subletting or occupancy; <br />(c) Tenant shall have given written notice to Landlord of Tenant's exercise of such Rental <br />Option not less than one hundred eighty (180) days (nor more than two hundred ten (210) <br />days) prior to the expiration of the original Term of this Lease. <br />In the event Tenant timely exercises the Renewal Option herein granted and satisfies all of the <br />conditions set forth above, the Lease shall continue in effect, as originally written, except as <br />follows: <br />(a) The Monthly Base Rent payable during the Renewal Option shall be at Market rate; <br />(b) Except for the Renewal Option herein expressly provided for, Tenant shall have no further <br />rights to renew or extend the Term of this Lease; <br />(c) All leasehold improvements located within the Leased Premises shall be provided in their <br />then existing condition (on an "as is" basis) at the time the renewal term commences. <br />Furthermore, no abatement or other concessions, if any, applicable to the original Term of <br />this Lease shall apply to such renewal; term; and <br />(d) Upon exercise of the Renewal Option herein provided, Landlord and Tenant shall execute <br />an appropriate amendment to this Lease evidencing the new Monthly Base Rent; and <br />(e) In no event shall the Renewal Option Monthly Base Rent be less than the Monthly Base <br />Rent at the initial Lease Term expiration. <br />Time is of the essence in the exercise of this Renewal Option and should Tenant fail to exercise <br />this Renewal Option by timely notice, this Renewal Option shall lapse and be of no further force or <br />effect. <br />Lease Agreement - 24 <br />PI SE Initial n <br />andlord TenGa_nt <br />
