sums due hereunder, shall have and quietly enjoy the Leased Premises for the Term set forth <br />herein as against any adverse claim of Landlord or any party claiming under Landlord. <br />25. Real Property Taxes. <br />25.1 Landlord's Responsibility. <br />Landlord agrees to pay real property taxes assessed against the Leased Premise: <br />during the Term, subject to the tax responsibility of Tenant described in Section 4.6. <br />25.2 Taxes in Lieu of Property Taxes. <br />In the event during the Term of the Lease or a renewal hereof, the State of Oregon, <br />County of Lane, City of Eugene, or any other governmental entity enacts a taxing <br />measure that is reasonably determined to be in lieu of real property taxation <br />(including tax on rental income but not other income taxes), the amount of such <br />taxation imposed on Landlord that is fairly attributable to that portion of the Building <br />occupied by Tenant pursuant to this Lease or attributable to Tenant's lease from <br />Landlord, shall be for the purposes of this Lease considered as real property taxes <br />when calculating the respective responsibilities of Landlord and Tenant. <br />26. Miscellaneous. <br />26.1 Tenant Defined. <br />The word "Tenant" as used herein shall mean each and every person, partnership <br />or corporation who is mentioned as a Tenant herein or who executes this Lease as <br />Tenant. <br />26.2 Joint Obligation. <br />If there is more than one Tenant, the obligations hereunder imposed shall be joint <br />and several. <br />26.3 Broker's Commission. <br />Tenant represents and warrants that it has incurred no liabilities or claims for <br />brokerage commissions or finder's fees in connection with the execution of this <br />Lease and that it has not dealt with or has any knowledge of any real estate broker, <br />agent or salesperson in connection with this Lease. <br />26.4 Recording. <br />Tenant shall not record this Lease without the prior written consent of Landlord. <br />26.5 Notices. <br />Any notice required in accordance with any of the provisions herein if to Landlord <br />shall be delivered or mailed by registered or certified U.S. mail to the address of <br />Landlord as set forth by the signature of the Parties, or at such other place as <br />Landlord may in writing from time to time direct to Tenant, and if to Tenant, shall be <br />Lease Agreement - 17 <br />Please Initial <br />andlord Tenahf <br />
