Contractor is engaged in the business of Training & Development. <br />(City) <br />(Contractor) <br />B. City desires to engage Contractor to provide the Services described in this agreement and <br />Contractor is willing to provide such Services on the terms and conditions set forth herein. <br />C. The contract described herein was awarded under the exemption or procedure authorized <br />by R-1415-Administrative Order 4.5. <br />AGREEMENT <br />1. Incorporation of Exhibits; Definitions; Contractor's Representations and Warranties. <br />1.1 Exhibits. The contract between the parties (the "Contract") includes and <br />incorporates into this document (this "Agreement") all of the following: <br />1.1.1 Exhibit A summarizes certain federal, state and municipal laws that apply to <br />government contracts. The provisions of Exhibit A are statements of law and <br />may not be modified. <br />1.1.2 Exhibit B is scope of services. <br />1.2 Definitions. With the exception of proper nouns, capitalized terms not otherwise <br />defined herein shall have the following meanings. <br />1.2.1 "Agreement" means this document, entitled Personal Services Contract and <br />ending with the signatures of all parties. <br />CONTRACT NUMBER 20078-00329 Page 1 <br />
