thereon until ten (10) days after City receives such clarifica- <br />tion from Attorney. <br />IV. DURATION OF AGREEMENT: The term of this agreement shall <br />cover the period beginning July 25, 1983, and ending June 30, <br />1984. <br />V. ASSIGNMENT OF SERVICES: Services related to General <br />Administration shall be performed by Attorney on request. Such <br />request may be made of Attorney by any employee of City or MWMC's <br />consultants. Services related to Design and Construction and <br />Litigation/Arbitration shall only be performed by Attorney on the <br />request of City's Director of Public works, or his designee. <br />Such request may either be made on a project-by-project basis or <br />by general subject area authorization. <br />The parties anticipate that there will be issued a general <br />subject area authorization on or before the effective date of <br />this contract so as to facilitate Attorney's ability to continue <br />to respond to the inquiries of BCS Project Managers, represen- <br />tatives of governmental agencies and MWMC's other contractors and <br />consultants and otherwise continue the provision of legal ser- <br />vices fo MWMC as heretofore provided. Such authorization, when <br />issued, may be thereafter limited or withdrawn, in whole or in <br />part, as City's Director of Public Works sees fit. The parties <br />also anticipate that each will use its best efforts to coordinate <br />with the other so that there may be a full understanding of the <br />range of services actually being provided at any time. <br />VI. CONFLICTS RESOLUTION: The parties recognize that <br />Attorney has from time to time previously represented, and con- <br />tinues to represent, clients, including MWMC, with interest <br />adverse to City.- If Attorney is to contract with City for provi- <br />sion of legal services for MWMC, some general method for <br />resolving potential conflicts of interest must be established. <br />Notwithstanding anything herein to the contrary, the resolution <br />of such matters shall be governed in general by the Oregon State <br />Bar Association's Code of Professional Responsibility and speci- <br />fically by the requiements therein expressed at DR 5-105. <br />.The parties express their opinion that Attorney's defense of <br />persons charged with municipal code and traffic violations in <br />Springfield Municipal Court where City is represented by counsel <br />independent of Attorney shall not constitute a conflict of <br />interest necessitating that Attorney withdraw from or decline <br />representation. This constitutes City's consent to such repre- <br />sentation by Attorney and no further consent from City shall be <br />necessary unless requested by Attorney.
