<br />inernnification. To the extent allowed by the Oregon Constitution and the Oregon Devised statutes, each of the:
<br />parties hereto agrees to indemnify, defend, and save the other harmless from any claims, liability or damages
<br />including attorneyfees arising outafany error, omission oract of negligence on the part of the indemnifying party,
<br />its of'ticers, agents, or employees ire the perfarn~ance of this agreement.
<br />9. Insurance. each party worl~ing under this agreement is either a subject employer under the Oregon vlforl~er's
<br />Compensation 1_aw and shall comply with ~R G~.D~ 7, which requires each to provide IIIlarker' ornpenatian
<br />coverage for all its subject workers, or is an employer that is exempt under CRS SSG, ~~6.
<br />1 Q, u~contracting. CITY shall not subcontract its work under this egreernent, in whole ar in part, without the IC's prior written approval. CITY shall require any approved subcontractor
<br />to agree, as to the portion subcontracted, to
<br />comply with all obligations of CITY specified lr~ this agreement. Notwithstanding LCCG's approval of a
<br />subcontractor, CITY shall remain obligated far full perfarr~ance of this agreement and IOC shall incur no
<br />obligation to any sub-contractor,

<br />Integration. This agreement embodies the entire agreement of the parties. There are no promises, terms, conditions orobligations otherthanthose contained herein. This contact shall supersede

<br />Interpretation. This agreement shall be governed by and interpreted in accordance with the laws o~ the state of
