INTERGOVERNMENTAL AGREEMENT <br /> BETViIEEN: Lane Council of Governments (LCOG), an organization of governments within <br /> Lane County, Oregon <br /> AND: The City of Eugene (CITY), a unit of local government of the State of Oregon <br /> EFFECTIVE DATE: October 1, 2009 <br /> RECITALS <br /> A. ORS 190.010 provides that units of local government may enter into agreements for the performance of any and all <br /> functions and activities that any party to the agreement, its officers, or agents have the authority to perform. <br /> B. Provision of services for the remuneration specified in this agreement will mutually benefit the parties to it. <br /> C. CITY and LCOG desire to enter into an agreement where-in CITY will provide the services described in this <br /> agreement on the terms and conditions set forth herein and in Attachment A (attached hereto and incorporated <br /> herein by reference). Federal Surface Transportation Planning (STP-U) funds have been made available for use <br /> <br /> ~ by the CITY for this purpose. The project costs, planning activities and work products are contained in Attachment <br /> A, the FY 2010 and 2011 Unified Planning Work Program (UPWP) with the sections and elements concerning the <br /> use of the STP-U funds for the CITY outlined in Section II, Partner Agency Tasks. <br /> AGREEMENT <br /> 1. Services to be Provided. CITY agrees to provide services to LCOG as described in Attachment A, the FY 2010 <br /> and 2011 Unified Planning Work Program, Section II, Partner Agency Tasks. <br /> 2. Duration. The agreement term shall be effective October 1, 2009 through June 30, 2010. <br /> 3. Compensation. The total project cost shall be $44,578, of which LCOG will reimburse CITY an amount not to <br /> exceed $40,000 and CITY shall provide, at a minimum, match equal to 10.27% of the total project cost, which is <br /> $4,578. The project cost may be amended to reflect the annual UPWP adoption by the Metropolitan Policy <br /> Committee (MPC) and is approved by the Federal Highway Administration (FHwA). <br /> LCOG shall pay CITY upon receipt of an invoice. CITY will submit quarterly invoices to Andrea Riner, LCOG <br /> Transportation Program Manager for approval. Each invoice shall detail the reimbursement amount and required <br /> match, and work activities completed under each major work element. Travel and training expenses incurred for <br /> eligible activities must be separately documented as to purpose. Travel expenses shall be reimbursed to CITY in <br /> accordance with the current Oregon Department of Administration Services rates. <br /> 4. Termination. Upon thirty days' prior written notice delivered to the persons designated in paragraph 6, either party, <br /> without cause, may terminate its participation in this agreement. <br /> 5. Amendments. This agreement may be modified or extended by written amendment signed by both parties. <br /> Should funds not become available to LCOG from FHwA as specified in the UPWP in amounts anticipated, LCOG <br /> may, by amendment, reduce funding or terminate the agreement as appropriate. <br /> 6. Administration.
