State ray terminate this Agreement effective upon delivery of written notice to <br /> Agency, or at such later date as nnay be established by State, under any of the <br /> fallowing conditions: <br /> a. If Agency fails to provide services called for by this Agreement within the fine <br /> specified herein orany extension thereof. <br /> b. If Agency fails to perform any afthe other provisions of this Agreement, or so fails <br /> to pursue the work as to endanger perfarn~ance of this Agreement in accordance <br /> with its terms, and after receipt of written notice fror~ State fails to correct such <br /> failures within ten o~ days or such !anger period s State nay aufhori~e~ <br /> c~ If Agency fails to provide payment of its share of the cost of the Project. <br /> d~ If State fails to receive funding, appropriations, limitations or other e~cpenditure <br /> authority sufl"icient to allow State, in the exercise of its reasonable administrative <br /> discretion, to continue fo make payments for performance of this Agreement, <br /> e. If federal or state laws, regulations or guidelines are modified or interpreted in <br /> such a vvay that either the work under this Agreement i prohibited or if State i <br /> prohibited from paying forsuch workfrom the planned funding sourceF <br /> ~ . Any termination of this Agreement shall not prejudice any rights or obligations accrued <br /> to the Parties prior to termination. <br /> ~9.Aency shall report to State the required reporting data by federal and state mandates <br /> for delivery of the ARRA program. State shall inform the Agency of the reporting <br /> requirer~ent once they have been received from C=I~vVA and the Oregon Department <br /> of Administrative Services and such requirements shall be made a part of this <br /> Agreement. Agency is also subject to other requirements far use of APPA, including <br /> but not limited to the 1.1,5. comptroller and Inspector enera~l, and AIRA Sign <br /> requirements provisions <br /> <br /> ~o. Agency shall include the AAA requirements in any contract it enters into, including <br /> consultant contracts, and subcontracts at any tier. Agency may modify language fo <br /> match its awn specifications, but such modifications shall be reviewed and approved <br /> by State priorto incorporation into any contract <br /> .Agency shall comply with ARRA that provides the U.S, comptroller general and his <br /> representatives with the authority to: ~ to examine any records of the contractor ar <br /> any of 'rts subcontractors, or any State or local agency administering such contract, <br /> that directly pertain to, and involve transactions relating to, the contract or <br /> subcontract; and ~}to interviewany afficeroremplayee of the contractor or any of ifs <br /> subcontractors, or of any State or local government agency administering the <br /> contract, regarding such transactions." <br /> Page 4 of 8 <br /> <br />
