Projects maybe inspected by the State prior to final acceptance and <br /> 153 final reimbursement of the work completed. , <br /> 154 <br /> 155 Sponsor Covenants _ <br /> 156 <br /> 157 Matchin~Funds: The Sponsor shall contribute matching funds or the equivalent in labor, materials, = <br /> 158 or services, which are shown as eligible match in the rotes, policies and guidelines for the RTP Grant <br /> 159 Program. <br /> 160 <br /> 161 Publici Sponsor shall make every effort to publicize the Recreational Trail Program and OPRD's <br /> 162 participation. Upon completion of the Project, State may require that signs acknowledging RTP <br /> 163 assistance be installed at the site. <br /> 164 <br /> 165 Public Access to Project: The Sponsor shall allow open and unencumbered public access to the - <br /> 166 Project to all persons without regard to race, color, religious or political beliefs, sex, national origin, <br /> 167 or place of primary residence. <br /> 168 n <br /> 169 Co ~liance with Workers Compensation Law: The Sponsor shall require that its contractors or any <br /> 170 subcontxactors, and all employers performing work on the Project be subject employers under the <br /> 171 _ Oregon Workers Compensation Law, and shall comply with ORS 656A17, which requixes subject <br /> 172 employers to provide compensation coverage for all subject workers. <br /> 173 <br /> 174 Record Maintenance: The Sponsor shall maintain all fiscal records relating to this Agreement in <br /> <br /> ' 175 accordance with generally accepted accounting principles. Controls shall be established which are <br /> 176 adequate to ensure that all expenditures reimbursed under this Agreement are for allowable purposes <br /> 177 and that documentation is readily available to verify that such charges are accurate. <br /> 178 <br /> 179 Inspection and Audit: The Sponsor shall allow the State or its authorized representative to inspect <br /> 180 and review all records related to this Agreement whenever so requested by the State. The Sponsor <br /> 181 shall retain and keep accessible all such fiscal records for a minimum of three (3) years. <br /> 182 <br /> 183 Liabili :The Sponsor shall be liable for injury or loss of property, personal injury, or death caused <br /> 184 by the negligent or wrongful act of omission of any employee of the Sponsor, while acting within the <br /> 185 scope of his office or employment as permitted under the Oregon Tort Claims Act, where the State of <br /> 186 Oregon, if a private person, would be liable to the claimant in accordance with the law of the State <br /> 187 where the act or omission occurred. I~I <br /> 188 <br /> 189 Indemnity: Subject to the limits and conditions for the State of Oregon Tort Claims Act, the Sponsor <br /> 190 shall defend, save, hold harmless, and indemnify the State of Oregon and the Department and their <br /> 191 agencies, subdivisions, officers,. directors, agents, employees, and members from any and all claims, <br /> 192 suits, actions, losses, liabilities, costs, expenses, and damages of whatsoever nature resulting from, <br /> 193 arising out of, or relating to the activities of Sponsor or its officers, employees, contractors, or agents <br /> 194 under this Agreement. <br /> 195 <br /> 196 Termination <br /> 197 <br /> 198 Termination for Convenience: Either party, in writing may terminate this Agreement in whole or in <br /> 199 part, at any time prior to the expiration date of this .agreement.
