Section i2. Termination <br /> or Termination <br /> 12.1 Procedure f <br /> Neither party may terminate this Agreement for a breach by the other party without first <br /> providing the other party written notice of the specific nature of the :alleged breach and a <br /> reasonable opportunity to cure the breach. A reasonable opportunity to cure the breach shall be <br /> 30 days or such other lesser or greater time as is appropriate given the nature of the breach and <br /> the time necessary to cure it. <br /> 12.2 Remedies for Termination <br /> . Notwithstanding any other provision herein, each party reserves the right to terminate this <br /> Agreement by written notice. ,Such termination shall be effective one year after notice is given. <br /> <br /> 'i If District terminates this Agreement, for any reason other than City's breach of this Agreement, <br /> or if City terminates this Agreement because District breaches this Agreement, District shall <br /> reimburse or in some appropriate manner make City whole for the depreciated value of City's <br /> _ _ investment that is withdrawn due to the termination or for the value due to City for_District non- <br /> - performance.
