(A) The City will be responsible for managing the project, including but not limited <br /> to selecting the con#ractor in compliance with all contracting laws and rules <br /> applicable to .City projects, executing a contract with the selected contractor, <br /> overseeing the work, paying the contractor and assuring that the work is <br /> completed according to the project plans. The design for the new stormwater <br /> pipe is identified in the project plans and special provisions for Contract <br /> Number 2007-00026, "2007 Pavement Preservation Program, E. 18"' Ave., <br /> Agate St., & E. 18~' Ave. Pedestrian/Bicycle Improvements". <br /> (B) The University shall cooperate in the project by reimbursing the City for one- <br /> hundred percent (100%) of the cost of construction of the new stormwater pipe <br /> between catch basin number 56822 and stormwater manhole number 68517 <br /> (approximately 52 feet), as well as removal and replacement of catch basin <br /> number 56822, not to exceed $6,000. <br /> 2. Time for Completion. The parties shall begin performance upon execution of this <br /> Agreement, and shall complete performance prior to February 28, 2008. <br /> 3. Termination. The parties may terminate this Agreement upon written agreement. <br /> 4. Contract Administration. Records/Inspection. The City and the University shall each maintain records of its <br /> costs and expenses under this Agreement for a period of not less than three full <br /> fiscal years following completion of this Agreement. Upon reasonable advance <br /> notice, either party or its authorized representatives may from time to time inspect, <br /> audit and make copies of the other party's records. <br /> 6. Indemnification. To the extent legally possible, the University and the City shall <br /> indemnify and hold the other, its officers, agents and employees, harmless from <br /> and against any and all claims, actions, liabilities, costs, including attorney fees and <br /> other costs of defense, arising out of or in any way related to any act or failure to <br /> act by each other and each other's employees, agents, officers and contractors. <br /> <br /> This cover sheet and the City's original contract are to be sent to the City Recorder's <br /> Office. The contractor should receive one original. The department is advised to keep a <br /> <br /> copy of the contract. <br /> <br />
