appropriate manner make City whole for the depreciated value of City's investment that is withdrawn <br />due to the termination or for the value due to City for District non-performance. If City terminates this <br />Agreement, for any reason other than District's breach of this Agreement or if District te~minates this <br />Agreement for City's breach of this Agreement, City shall reimburse or in some appropriate manner <br />make District whole for impact to the District of the termination or City non-performance. <br />12.3 Any dispute as to the appropriate reimbursement due under Section 12.2 or upon <br />termination for any reason shall be resolved pursuant to Section 16 of this Agreement. <br />Section 13. Contract Administration <br />Each party designated the following as its representatives for purposes of administering this <br />contract: <br />City: Sarah Medary <br />Recreation Services Director <br />City of Eugene <br />100 West 10th Ave, Suite 321 <br />Eugene, OR 97401 <br />District: Jon Lauch <br />Facilities Director <br />School District 4J <br />715 West 4th Ave <br />Eugene, OR 97402 <br />Either party may change its representative by providing the other party written notice of the new <br />representative's name and address. <br />Section 14. Indemnification <br />To the extent legally possible, District and City each shall indemnify and hold the other, its <br />officers, agents and employees, harmless from and against any and all claims, actions, liabilities, costs, <br />including costs of defense, arising out of or in any way related to any act or failure to act by the first <br />party and its employees, agents, officers and contractors in connection with this contract. <br />In addition to the above and to the extent legally possible, City agrees to defend, indemnify, and hold <br />District harmless from any claim for injury or damage occurring at any Parks Premises as described in <br />Section 1.2 of this agreement, if the claim does not arise from District's negligent or intentional acts or <br />failure to act. <br />Amended and Restated Intergovernmental Agreement 2008-U1033: Joint Use and Development of Youth 5ports Parks and Athletic Fields <br />Page 9 of il July 1, 2008 <br />
