9. Indemnification. <br />9.1 By Artist team. Artist team shall hold the City harmless from claims <br />arising out of or in any way related to Artist team's warranties under Section 8, or any <br />other wrongful actions or wrongful failure to act by Artist team and Artist team's <br />employees, agents, officers and subcontractors. In the event that any such claim <br />should arise, Artist team shall indemnify and hold City, and its officers, agents and <br />employees, harmless from and against all claims, actions, liabilities, costs, including <br />attorney fees and other costs of defense resulting from or arising under the claim. <br />9.2 By City. City shall indemnify and hold Artist team harmless from and <br />against all claims, actions, liabilities, costs, including attorney fees and other costs of <br />defense, resulting solely from the wrongful acts of City or its agents of employees or <br />under from any action by any federal, state, county or city governmental agency or third <br />persons arising from the public's use of the Work after completion or termination of this <br />Agreement. <br />10. Subcontracting. <br />Artist team shall require any sub-contractors to agree, as to the portion <br />subcontracted, to comply with all obligations of Artist team specified in this Agreement. <br />Artist team shall remain obligated for full performance of this Agreement and City shall <br />incur no obligation to any sub-contractors. Artist team shall indemnify, defend and hold <br />City harmless from all claims ofsub-contractors. <br />11. Assignment. <br />Artist team shall not assign any work or services required by this Agreement to ~ <br />any party, in whole or in part, or any right or obligation hereunder, without City's prior <br />written approval. (This provision shall not prohibit Artist team from employing. qualified <br />personnel for work under Artist team' direct supervision regarding the Work). <br />12. Indeaendent Contractors. <br />Whether Artist team is a corporation, partnership, other legal entity, or an <br />individual, Artist team is an independent contractor. If Artist team is an individual, Artist <br />team's duties will be performed with the understanding that Artist team is a self- <br />employed person, has special expertise as to the services which he is to perform and is <br />customarily engaged in the independent performance of the same or similar services <br />for others. The manner in which the services are performed shall be controlled by <br />Artist team; however, the nature of the services and the results to be achieved shall be <br />specified by City. Artist team is not to be deemed an employee or agent of City and <br />has no authority to make any binding commitments or obligations on behalf of City. <br />13. Artist team' Resaonsibilities. <br />13.1 Artist team will complete the Work as described in Section 2 and deliver <br />by the date agreed to in Section 4. <br />Page 6 <br />
