. ~ ' Exhibit C <br />DOCUMENT OF TITLE AND ACCEPTANCE <br />Description of Work: Design and execute a 30' tall ceramic and meta( Marker of Origin <br />sculpture (known in this document as the "Work") per design concepts in Exhibit A. <br />Artists: Betsy Wolfston and David Thompson <br />Acceptance and Acknowledgment by City: City hereby accepts the receipt of the <br />commissioned Work and acknowledges Artist's retention of the right to be recognized <br />as the sole creator of the Work, including the right to be deemed the "author" of the <br />Work for purposes of the United Sta#es copyright act. <br />Conveyance by Artist: Artist hereby transfers, assigns, conveys and relinquishes to <br />the City of Eugene exclusive possession and all title to, and ownership of, all material <br />aspects of the Work, and extends to City the following irrevocable and transferable <br />intangible rights and copyrights appurtenant to the Work: <br />~1. Anon-exclusive license to make derivative works, including but not limited to <br />physical or electronic photographs of, or drawings representing, the Work, and objects, <br />images, prints and other works of fine art based upon, but not copies of the Work, ai( <br />for any purpose, including but not limited to the right to sell or display any derivative <br />work or product; <br />2. The exclusive right to display the Work in any private or public forum for any <br />purpose or to decommission the Work; and <br />3. The right to move the Work from its installation or location to any other <br />'~•' installation or location, provided that the owner shall exercise reasonable care to <br />protect the Work from damage during the move, and provided further that the owner <br />shall not install the Work into a building or other structure in such a manner that the <br />Work cannot thereafter be removed without damage; <br />4. The right to repair damage to and deterioration of the Work using acceptable <br />practices and, where necessary, the services of a qualified art conservator; and <br />5.
