8.2 City shat( indemnify and hold Contractors harmless from and against all <br /> claims, actions, liabilities, costs, including attorney fees and other costs of defense arising <br /> from the public's use of the Work. <br /> 9. Subcontractin4. <br /> Contractors shall require any sub-contractors to agree, as to the portion <br /> subcontracted, to comply with all obligations of Contractors specified in this Agreement. <br /> Contractors shall remain obligated for full performance of this Agreement and City shall <br /> incur no obligation to any sub-contractors. Contractors shall indemnify, defend and hold <br /> City harmless from all claims of sub-contractors. <br /> 10. Assignment. <br /> Contractors shall not assign any work or services required by this Agreement to any <br /> party, in whole or in part, or any right or obligation hereunder, without City's prior written <br /> approval. (This provision shall not prohibit Contractors from employing qualified personnel <br /> for work under Contractors' direct supervision regarding the Work). <br /> 11. Independent Contractors. <br /> <br /> ~~~r Whether Contractors are a corporation, partnership, other legal entity, or an <br /> individual, Contractors are independent Contractors. If Contractors are individuals, <br /> Contractors' duties will be performed with the understanding that Contractors are self- <br /> ~ employed persons, have special expertise as to the services which Contractors are to <br /> perform and are customarily engaged in the independent performance of the same or <br /> similar services for others. The manner in which the services are performed shall be <br /> controlled by Contractors; however, the nature of the services and the results to be <br /> achieved shall be specified by City. Contractors are not to be deemed employees or <br /> agents of City and have no authority to make any binding commitments or obligations on <br /> behalf of City except to the extent expressly provided herein. <br /> 12. Contractors' Responsibilities. <br /> 12.1 Contractors will complete the Work as described in Section 1 and deliver by <br /> the date agreed to in Section 3. <br /> 12.2 Insurance. The risk of public liability claims and loss or damage to the Work <br /> shall be home by Contractors until delivery of Work to City and acceptance by City. <br /> Contractors shall maintain public liability and property damage insurance that protects <br /> Contractors and City and its officers, agents and employees from any and all claims, <br /> demands, actions and suits for damage to property or personal injury, including death, <br /> arising from Contractors' work under this Agreement and until City's final acceptance of the <br /> Work. Contractor shall maintain in force for the duration of this contract the insurance <br /> coverages specified below. A copy of each policy or a certificate satisfactory to City shall be <br /> delivered to City prior to commencement of the Work. Unless otherwise specified, each <br /> policy shall be written on an "occurrence" form and shall contain an endorsement entitling <br /> City to not less than 30 days prior written notice of any material change, nonrenewal or <br /> Personal Services Contract - 5 <br /> <br />
