3.3 City will grant reasonable extensions of time to Contractors only if there is a <br /> <br /> r~ delay on the part of City in performing its obligation under this Agreement. <br /> 3.4 Contractors will make every effort to ship the completed Work via a shipper <br /> who insures the Work for the full cost, including but not limited to, materials, artist time to <br /> produce, and time to remake in the event of an accident in which the Work is damaged and <br /> deemed unusable by City. <br /> 4. Consideration. <br /> The consideration which City shall pay to Contractors for the Work in this Agreement, <br /> as described in Section 1, shall be $27,000.00, payable in three installments, as follows: <br /> 4.1 Phase 1: The first payment of thirteen thousand dollars ($13,000.00) will be <br /> made upon receipt of a signed contract and an invoice from Contractors for materials <br /> and/or fabrication costs. <br /> 4.2 Phase 2: The second payment of twelve thousand dollars ($12,000.00) wiA be <br /> made when the Work is received and accepted by City. <br /> 4.3 Phase 3: The third payment of two thousand dollars ($2,000.00) will be made <br /> when photographic documentation and a City of Eugene Registration form have been <br /> submitted to City. Payment will be made no later than two months after delivery of Work to <br /> Cit~r. <br /> 4.4 Contractors shall submit an invoice for services when appropriate. All <br /> payments wilt be made within 30 days of the date of the acceptance of phased progress. <br /> Contractors shall submit an invoice for services for each phase outlined above. <br /> 5. Termination. <br /> Notwithstanding any other provision hereof to the contrary, this Agreement may be <br /> terminated as follows: <br /> 5.1 The parties, by mutual written agreement, may terminate this Agreement at <br /> any time. <br /> 5.2 Either party may terminate this Agreement in the event of a breach of <br /> Agreement by the other party. <br /> 5.3 City may terminate this Agreement immediately upon Contractors' failure to <br /> have in force any insurance required by this Agreement. <br /> 5.4 Except as provided in paragraph 6 below, in the event of a termination, City <br /> shall pay Contractors for work performed to the date of termination. <br /> 6. Remedies. <br /> 6.1 In the event Contractors breach this Agreement by failure to deliver the Work <br /> as specified in Section 3, City may complete the approved designs itself or contract with <br /> another Contractors to complete the approved designs. In the case of illness or accident to <br /> Contractors, City will consult with Contractors before assigning Work to another <br /> Personal Services Contract - 3 <br /> <br />
