TRADE SERVICES CONTRACT (Non-Facility) BETWEEN: The City of Eugene, an Oregon Municipal Corporation (City) AND: Trillium Gardens (Contractor) 0 53~ CONTRACT NO.: 2003-5325- EFFECTIVE DATE: April 10, 2003 RECITALS A. Contractor is engaged in the business of seedling grow-out, and has obtained and currently holds all licenses, permits, certifications, bonds or other authorization required by Federal, State or local law or regulations to engage in such business. B. City desires to engage Contractor to perform the services described in the attached Exhibit B (the "Requirements and Specifications"). Contractor has represented that it is qualified to perform the Services, and desires to enter into this contract with City on the terms set forth below. - - - - AGREEMENT 1. Engagement. City hereby engages Contractor to perform the Services, and Contractor agrees to perform the Services, according to the terms and conditions set forth herein and in the following exhibits: Exhibit A -City of Eugene Standard Contract Provisions Exhibit B -City of Eugene RFB No. 2003-200090 Exhibit C -Vendor's Response to RFB. No. 2003-200090 (will be attached after award) 2. Time of Commencement and Completion. Contractor will commence the Work not later than 10 days after City gives it's written notice to proceed, and shall complete the Work within the time stated in the bid proposal. 3. Contract Sum. The Contract Sum is $9392.50, which consists of unit prices bid by Contractor multiplied by estimated quantities, together with lump sum amounts for portions of the Work, as described on the Bid Proposal attached hereto. The actual sum payable to Contractor for the Work shall be based on lump sum amounts and actual quantities, in accordance with Exhibit B (the "Requirements and Specifications").
