In order to facilitate the construction of those Project improvements located within the <br /> City of Springfield, the City of Springfield shall have no financial obligation for, but shall <br /> cooperate with the City of Eugene and ODOT, to ensure that all the required <br /> improvements within the City of Springfield's jurisdiction can be approved. <br /> 2. The City of Springfield shall work with the City of Eugene to obtain the required permits <br /> to perform work upon ODOT right of way within Springfield City limits. <br /> 3. Upon completion of the Project and at its own expense, the City of Springfield shall <br /> maintain the streets that are under City of Springfield jurisdiction. <br /> GENERAL PROVISIONS <br /> 1. When signals are warranted and approved for construction within the project area, a <br /> separate agreement shall be written to detail engineering, construction, maintenance, <br /> timing, and power responsibilities. <br /> 2. If a contractor doing work described in this agreement is a subject employer under the <br /> Oregon Worker's Compensation law and is not exempt pursuant to ORS 656.126, then <br /> the City of Eugene shall ensure that each of the contractors and subcontractors complies <br /> with the requirements of ORS 656.017 to provide worker's compensation coverage for all <br /> of the contractor's "subject workers," as defined under ORS Chapter 656. <br /> 3. Each party hereto shall, to the extent permitted by the Oregon Constitution and the <br /> Oregon Tort Claims Act, indemnify, defend, save, and hold harmless the other parties, the <br /> Oregon Transportation Commission and its members, Department of Transportation, its <br /> officers and employees from any and all claims, suits, and liabilities which may occur in <br /> the performance of this Project. <br /> 4. This Agreement maybe terminated by mutual written consent of all parties. <br /> 5. ODOT may terminate this Agreement, including the Construction Permit for a public <br /> road approach, effective upon delivery of written notice to both the City of Eugene and <br /> the City of Springfield, or at such later date as may be established by ODOT, under any of <br /> the following conditions: <br /> a. If the City of Eugene or the City of Springfield fail to provide services called for by <br /> <br /> y this Agreement within the time specified herein or any extension thereof. <br /> <br />
