TRADE SERVICES CONTRACT <br /> (Non-Facility) <br /> <br /> BETWEEN: The City of Eugene, an Oregon <br /> Municipal Corporation (City) <br /> <br /> AND: Trillium Gardens (Contractor) <br /> CONTRACT NO.: 2004-05417 <br /> EFFECTIVE <br /> DATE: February 26, 2004 <br /> RECITALS <br /> A. Contractor is engaged in the business of seedling grow-out, and has obtained and currently holds all <br /> licenses, permits, certifications, bonds or other authorization required by Federal, State or local law <br /> or regulations to engage in such business. <br /> B. City desires to engage Contractor to perform the services described in the attached Exhibit B (the <br /> "Services"). Contractor has represented that it is qualified to perform the Services, and desires to <br /> enter into this contract with City on the terms set forth below. <br /> AGREEMENT <br /> 1. Engagement. City hereby engages Contractor to perform the Services, and Contractor agrees to <br /> perform the Services, according to the terms and conditions set forth herein and in the following <br /> exhibits: <br /> Exhibit A -City of Eugene Standard Contract Provisions <br /> Exhibit B -City of Eugene RFB No. 2004-200061 <br /> Exhibit C -Vendor's Response to RFB No. 2004-200061 <br /> Exhibit D -Final Species and Quantities for Grow-out <br /> 2. Time of Commencement and Completion. Contractor shall commence Work not later than 10 <br /> days after City gives its written notice to proceed, and shall complete the Work within the time <br /> stated in the bid proposal (Exhibit B). <br /> 3. Consideration. The contract sum is $12,915, which consists of unit prices bid by Contractor <br /> multiplied by estimated quantities. The actual sum payable to Contractor for the Work shall be <br /> based on lump sum amounts and actual quantities, in accordance with the following schedule: <br /> 3.1.
