7.3 PROJECT includes: performing the activities and making the <br /> improvements to LEO HARRIS PARKWAY. <br /> 7.4 Road - related means: expenses qualifying for expenditure from COUNTY'S <br /> Road Fund as specified in ORS. 368.722. <br /> 7.5 Major Event Days mean an event at Autzen Stadium such as a football <br /> game, concerts, etc., where the UNIVERSITY charges for parking. <br /> AGREEMENTS <br /> COUNTY AND UNIVERSITY AGREE THAT: <br /> 8. The recitals are incorporated herein as if fully set forth. <br /> 9. To the extent allowed by the Oregon Constitution the parties hereto agree <br /> to indemnify and save harmless the other party hereto its officers, agents, or <br /> employees, from any claims, liabilities, or damages resulting from any error or omission <br /> and /or negligence of.the indemnifying party, its officers, agents or employees relative <br /> to the responsibilities of the indemnifying party under this agreement. <br /> 10. In the event major event days usage by the UNIVERSITY begin to significantly <br /> (more than 12 times per year) interfere with public or user group use of the 200 parking <br /> spaces provided below, the parties hereto agree to meet and renegotiate paragraphs 11 <br /> and 1A. <br /> COUNTY SHALL: <br /> 11. Provide in any agreement with any organized user group or legal entity that <br /> uses portions of Alton Baker Park, including, but not limited to, the BMX track and the <br /> golf course (if built), a requirement that before the user group schedules an event <br /> requiring parking spaces beyond the capacity of public parking in the area, they shall <br /> provide the UNIVERSITY'S Athletic Department 14 days advance written notice. The <br /> agreement shall provide that in no event may they use any Autzen Stadium parking lots <br /> on major event days. <br /> 12. Survey, design, acquire permits, prepare plans and specifications, call for <br /> bids, and award and administer the construction contract for PROJECT. <br /> 13. Before awarding the contract for construction of the improvements obtain <br /> UNIVERSITY'S approval of PROJECT plans, which approval shall not be unreasonably <br /> withheld. <br /> 14. For the period January 1, 1992 through December 31, 1996, allow UNIVERSITY <br /> 1-A full use , and control of COUNTY'S property south of Leo Harris Parkway for overflow <br /> parking on major event days in Autzen Stadium. COUNTY further agrees to consider a <br /> request from UNIVERSITY during calendar year 1996 to extend the term of this use. <br /> UNIVERSITY SHALL: <br /> 15. In consideration of the undertakings of the COUNTY outlined herein, convey <br /> to COUNTY, at COUNTY's request, all UNIVERSITY -owned real property that is located <br /> within and south of the PROJECT right -of -way as outlined and shown on Exhibit A, <br /> attached herewith.
