DISTRICT agrees to assume ownership of this property upon <br /> recording of the deed. This property is conveyed as is" and SPRING- <br /> FIELD has no obligation nor liabilities concerning its condition aris- <br /> ing after the time the transfer document is filed. DISTRICT assumes no <br /> liability for any claims, known or unknown, which arose, or will arise, <br /> prior to the date that the transfer documents is filed with Lane County <br /> Records. DISTRICT shall defend, indemnify, and hold harmless SPRING- <br /> FIELD for all claims, .damages, and liabilities arising from SPRING - <br /> FIELD's participation in this agreement and the conveyance of the East - <br /> gate Section of East Alton Baker Park to DISTRICT. Further, in the <br /> event any hazardous materials are found to be present in the Eastgate <br /> Section of East Alton Baker Park, SPRINGFIELD assumes no liability for <br /> such materials, and DISTRICT shall defend, indemnify and hold harmless <br /> SPRINGFIELD for any and all claims, damages, liability and environ- <br /> mental requirements arising from the presence of such materials upon, <br /> beneath or about the property. <br /> 4. USE CONDITIONS. The parties agree that East Alton Baker Park shall be <br /> used subject to the following conditions: <br /> a. EUGENE and DISTRICT shall not sell, alienate, lease or in any <br /> other way convey any real or personal property interest in the East <br /> Alton Baker Park to any private or public entity for the purpose of <br /> developing a golf course, nor shall any of the parties expend any funds <br /> to study, promote, develop, construct, approve or in any way aid any <br /> private or public development of a golf course in East Alton Baker <br /> Park. A "golf course" means any facility of any type that uses any <br /> portion of land for the purpose of activity of golf. <br /> b. Prior to completion the East Alton Baker Park Plan (EABP) pursuant <br /> to Section 7 of this Agreement, the parties shall not reduce in size or <br /> alter. in configuration the watercourses, bike paths and running trails <br /> in East Alton Baker Park, except that the parties may take any action <br /> deemed necessary to protect the public health or safety or to-comply <br /> with state standards. <br /> c. EUGENE and DISTRICT shall not transfer ownership of their respec- <br /> tive sections of East Alton Baker Park prior to the adoption of the <br /> East Alton Baker Park Plan_ If EUGENE or DISTRICT subsequently trans- <br /> fer ownership, the transfer shall include appropriate conditions or <br /> .7 _19.93 3 <br /> 17 <br />
