Agency /State <br /> Agreement No. 26219 <br /> State's 1 -5 right of way and 1 -5 western slope area as outlined in this <br /> Agreement. <br /> 4. Agency shall be responsible for all costs related to its employment of individuals <br /> to perform work under this agreement, including but not limited to retirement <br /> contributions, workers compensation, unemployment taxes, and state and <br /> federal income tax withholdings. <br /> 5. Subcontractors. If Agency employs a contractor to perform the work under this <br /> Agreement, Agency shall require contractor to obtain and keep in effect, during <br /> the term of the contract, Comprehensive or Commercial General Liability <br /> Insurance covering bodily injury and property damage. The insurance shall <br /> include personal injury coverage; contractual liability coverage for the indemnity <br /> provided under this agreement and products /completed operations liability. <br /> Combined single limit per occurrence shall not be less than $1,000,000 or the <br /> equivalent. Each annual aggregate limit shall not be less than $2,000,000 when <br /> applicable. The certificate of insurance shall include the State of Oregon, <br /> Transportation Commission and its members, Department of Transportation, <br /> officers and employees as additional insured. Agency shall provide a copy of the <br /> certificate to State upon demand. The insurance shall not be amended, altered, <br /> modified, or canceled insofar as the coverage contemplated herein is concerned <br /> without at least 30 days prior written notice. <br /> 6. This Agreement shall become effective on the date all required signatures are <br /> obtained and shall remain in effect indefinitely for the purpose of ongoing <br /> maintenance responsibilities. This Agreement may be terminated at a time of <br /> mutual consent of both parties in the form of an amended agreement. <br /> B. AGENCY OBLIGATIONS <br /> 1. Services. Agency shall be responsible for routine operations and maintenance, <br /> to include maintenance and repair of Canoe Canal structure, multiple -use path <br /> and soft-trail surfaces, shoulders and railing, slope paving and retaining wall <br /> surfaces, and landscape features. Agency's area of responsibility lies between <br /> the western boundary of State's 1 -5 right of way and center line of 1 -5 right of way <br /> that lie within Agency's northern and southern boundaries of WNA, and the <br /> western slope area of 1 -5 right of way, as described. This work and other future <br /> enhancement work to Agency facilities occur as Agency deems necessary, <br /> subject to the following conditions: <br /> a. Agency shall use their normal standards and practices to perform the work <br /> described in this subsection and shall perform all such work in compliance <br /> with all applicable federal, state and local laws and regulations, including City <br /> of Eugene regulations. <br /> Key 14259 Page 4 of 17 <br />
