16. Holding Over. If, after expiration or earlier termination of this Lease, WISTEC shall <br />remain in possession of the Land, with or without the express written consent of City, then <br />the Lease shall convert to a month -to -month tenancy, at a rental rate equal to the rent <br />applicable to the Land at the date of such termination or expiration, plus all other charges <br />to be paid by WISTEC, and otherwise subject to all terms, covenants, conditions and <br />provisions of this Lease. <br />17. Right of Enjoyment. Upon compliance by WISTEC of its various obligations hereunder, <br />it shall have the right of possession and quiet enjoyment of the Land during the term of this <br />Lease or any extension thereof, subject to the reservations in favor of City and other <br />provisions of this Lease. <br />18. Notices. Any notice required or permitted under this Lease shall be delivered and served <br />personally, or alternatively, may be deposited in the United States mail, postage prepaid, <br />registered cr certified, return receipt requested, addressed to the parties as shown below: <br />City: <br />Division Facilities Manager <br />210 Cheshire <br />Eugene, Oregon 97401 <br />WISTEC: <br />Executive Director <br />P.O. Box 1518 <br />Eugene, Oregon 97440-1518 <br />Such notice, if mailed within the State of Oregon, shall be deemed delivered upon the <br />second day following the date postmarked. If mailed outside the State of Oregon, notice <br />shall be deemed delivered upon the fifth day following the date postmarked. Either party <br />may change the designated notice addresses upon written notice to the other party. <br />19. Default. <br />19.1 The following shall constitute "events of default:" <br />19.1.1 Default in Rent. Failure by WISTEC to pay rent within thirty (30) days <br />of its due date; <br />19.1.2 Expulsion of Lane ESD from Building. Termination of WISTEC's <br />Lease with Lane ESD provided above in Section 15, or other expulsion of <br />Lane ESD from the Building, or charging Lane ESD any rents in excess of <br />$1 per annum, so long as Lane ESD continues to operate a planetarium for <br />benefit of the public and students within Lane County; <br />19.1.3 Default in Other Covenants. Failure to comply with the terms or <br />conditions or to fulfill any obligation of this Lease (other than the payment <br />of rent) within thirty (30) days after written notice by the other party <br />specifying the nature of the default with reasonable particularity. <br />GROUND LEASE - 7 <br />
