Response Compensation and Liability Act, or any other state, federal or local laws <br />relating to the protection of human health or the environment. <br />12.2 Use of Hazardous Materials. WISTEC shall not cause or permit any hazardous <br />materials to be brought upon, kept, or used in or about the Land or Building. Under <br />no circumstances will hazardous materials be disposed of on the Land or Building. <br />Notwithstanding any provision to the contrary, WISTEC shall indemnify City <br />against any damage or harm caused by WISTEC's use or disposal of hazardous <br />materials found on the Land or Building. Such indemnification shall include but not <br />be limited to the cost of defense of any legal claim, action, appeal or review arising <br />out of any such claim made by any third person. The foregoing indemnity shall <br />survive the expiration or earlier termination of this Lease. <br />13. Compliance With Law. Without limiting the generality of the foregoing provisions, <br />WISTEC shall comply with all laws, rules, orders, ordinances, directions, regulations and <br />requirements of federal, state, county and municipal authorities pertaining to WISTEC's use <br />of the Land and/or Building. <br />14. Utilities and Water Rights. <br />14.1 WISTEC shall be responsible for providing and paying for all utilities, including but <br />not limited to gas, electricity, water, garbage and solid waste collection and removal <br />and telephone to the Land and Building. WISTEC shall also be responsible for all <br />utility costs associated parking lot lighting, bike path lighting, walkway lighting and <br />irrigation system usage, to the extent that the same serve the Land. If any utilities <br />serving the Land or Building are not separately metered to WISTEC, City shall make <br />a reasonable allocation of the cost of the liabilities based on the use made by <br />WISTEC in connection with the Land, and WISTEC shall pay the amount thereof <br />within thirty (30) days after City gives notice to WISTEC of the amount allocated <br />to WISTEC. <br />14.2 The irrigated area in front of the Building is currently served by water drawn from <br />the Park canoe canal per City water rights to the Willamette River, City reserves any <br />and all water rights related thereto. <br />15. Assignments and Subleases. WISTEC's interest in the Land and/or the Building shall not <br />be assigned nor subleased without the prior written consent of City. The decision as to <br />whether such consent is given to a transaction covered by this Section 15 shall be within the <br />City's absolute and unfettered discretion. <br />Notwithstanding the foregoing to the contrary, WISTEC shall either assume and extend the <br />existing Lease or enter into a new lease agreement with the Lane Education Service District <br />( "Lane ESD ") allowing Lane ESD to perpetuate its current use of the Building for purposes <br />of operating a planetarium during the term of this Lease, as provided below in Section <br />19.1.2. <br />GROUND LEASE - 6 <br />
