prohibit, and does not prohibit, The Science Factory from seeking parking rights on <br />Autzen Stadium football game days or otherwise, by following the appropriate <br />administrative process, subject to Park rules and Administrative Order No. 58-95 - <br />09E and/or any other administrative rules or orders that hereafter become applicable. <br />The parties further acknowledge that The Science Factory and the University of <br />Oregon may enter into a separate agreement relating to the parking of cars on game <br />days in University - controlled areas of the Park, but that no such agreement may at <br />present extend beyond December 31, 2007 (the expiration date of the current Inter - <br />Governmental Agreement between the University and City by which University has <br />been granted certain parking rights on City -owned property). <br />1.4 This Lease is made concurrently with the transfer of the Building to The Science <br />Factory pursuant to the Acquisition Agreement referred to above in Recital F, and the <br />grant by The Science Factory to City of an option to repurchase the Building pursuant <br />to that certain Option Agreement between City and The Science Factory dated of <br />even Effective Date. The Lease, Acquisition Agreement and Option Agreement are <br />interdependent transactions. To provide for consistent and uniform rights and <br />obligations of the parties with respect to both the Land and the Building, this Lease <br />contains provisions that apply equally to the Land and the Building. <br />2. Purpose of Lease; Use of Premises. This Lease is made for the purpose of providing <br />scientific and educational resources to the public generally and to students throughout the <br />.State of Oregon, and for purposes related thereto. The Science Factory may use the Land and <br />Building only for such purposes, and may not change the purpose for which the Land and <br />Building are used, without the prior written consent of City, which consent shall be within <br />the City's absolute and unfettered discretion. The Science Factory will provide to City, not <br />less often than annually, a copy of The Science Factory's financial statements for the prior <br />year and its business plan and financial projections for the current year and the next <br />consecutive two (2) years, and any other information reasonably requested by City to enable <br />City to determine that the use of the Land and Building has not materially changed and that <br />the public purpose for which City entered into this Lease and the Acquisition Agreement is <br />being met and will continue to be met by The Science Factory. <br />3. Term. The term of this Lease is ten (10) years, commencing upon the Effective Date and <br />ending ten (10) years thereafter. The Science Factory shall have four (4) successive options <br />(each an "Extension Option") to extend the termination date for ten (10) years (each such ten <br />(10) year period being an `Extension Option Period'). The Science Factory may exercise <br />an Extension Option only be giving written notice of exercise to City at least ninety (90) <br />days, but no more than one hundred twenty (120) days, prior to the termination date (as such <br />termination date may have been extended by the exercise of a previous Extension Option). <br />If The Science Factory validly exercises an Extension Option, all terms, covenants, <br />conditions and other provisions of this Lease shall continue in full force and effect during the <br />initial Extension Option Period. However, notwithstanding the foregoing provisions, in no <br />event may The Science Factory exercise an Extension Option, and any purported exercise <br />of an Extension Option shall be null and void and shall have no force or effect, if.
