The following exhibits are attached hereto and incorporated herein by this reference: <br />Exhibit 1 - Site Map Identifying Land (including the West Pond area), <br />Building and Parking Area <br />Exhibit 2 - City of Eugene Standard Contract Provisions <br />�te�7� �1►�1�1►YY <br />Now, therefore, in consideration of the covenants, conditions and obligations on the part of <br />each party to be kept and performed, it is hereby agreed as follows: <br />1. Lease of Property. <br />On and subject to the covenants, terms, conditions and other provisions of this Lease: <br />1.1 City leases the Land to The Science Factory and The Science Factory leases the Land <br />from City. This Lease gives The Science Factory the right of exclusive use and <br />possession of the Land, except with respect to the portion of the Land identified on <br />Exhibit 1 as the "West Pond" area. Notwithstanding any provision to the contrary <br />contained in this Lease, the Acquisition Agreement or otherwise, The Science <br />Factory shall not exclude, obstruct or limit public access to or use of the West Pond <br />area, and The Science Factory's rights hereunder with respect to the West Pond area <br />are non - exclusive and in common with the public (including, but not limited to, the <br />City). <br />1.2 City also gives The Science Factory a non - exclusive license, for so long as this Lease <br />is in effect, to use the paved parking areas shown on Exhibit I CTarking Area'), for <br />the purpose of providing parking to The Science Factory's patrons, employees, <br />contractors and agents during those hours when the Building is open for operation or <br />normally staffed ("hours of operation'); (at present, the "hours of operation" are from <br />9:00 a.m. to 11:00 p.m., daily). Use of the Parking Area for any other purpose is not <br />permitted by this Lease. This Parking Area license gives The Science Factory the <br />primary, first right to seventy -five parking spaces for the use described above during <br />the hours of operation; provided, however, that the City may use, or grant to others <br />the right to use, any of such parking spaces: (a) from time to time during the hours <br />of operation if the spaces are not needed by The Science Factory and constitute <br />excess parking capacity from time to time during the hours of operation, or (b) <br />outside of the hours of operation. The Science Factory will cooperate with City, in <br />identifying those hours of operation during which the parking constitutes excess <br />capacity, as those hours of operation, or the programs and activities offered during <br />the hours of operation, may change from time to time. <br />1.3 Without limiting the generality of the foregoing, the parties acknowledge that this <br />Lease does not give The Science Factory a right to use any other adjacent or nearby <br />City-owned paved or unpaved parking areas, although this Lease is not intended to <br />GRouNn LEASE - 2 Exhibit B - Page 2 of 12 <br />
