SECTION 10. RELOCATION OF LEASED PREMISES AND IMPROVEMENTS <br /> Emerald Valley and County agree and acknowledge that the Premises is a small <br /> parcel existing within a larger, County -owned public park known as Alton Baker Park and <br /> that development of said park is a continuing function and responsibility of County. It is the <br /> express interest of County to maintain bicycle motocross as a use for a portion of Alton <br /> Baker Park and County acknowledges the public benefit of Emerald Valley's private <br /> development of its existing facility prior to the execution of this lease. <br /> Any relocation of the Premises and improvements thereon within Alton Baker Park <br /> shall be the responsibility of the party requesting relocation and said party shall be <br /> responsible for all costs associated with said relocation. <br /> Any proposed relocation of the Premises and improvements thereon shall be to an <br /> area of Alton Baker Park that provides Emerald Valley with essentially equal facilities and <br /> services, including parking, as existing on or near the Premises as of the date of relocation. <br /> Any relocation shall result in a track facility that is of substantially the same condition <br /> and quality as the then - existing track, as agreed upon by both parties. <br /> Any relocation shall occur and be effected in a manner which does not interfere with <br /> or interrupt the services and racing scheduled by Emerald Valley. <br /> SECTION 11. ADDITIONAL PARKING <br /> To the extent possible, County shall maintain, by intergovernmental agreement, the <br /> availability for special event parking at the University of Oregon Autzen Stadium parking <br /> lot for recreational users of Alton Baker Park, including bicycle motocross, except during <br /> university- sponsored major event days. Said intergovernmental agreement is attached hereto <br /> as Exhibit "A" and by this reference incorporated herein. <br /> Emerald Valley shall provide the University of Oregon Athletic Department with 14 <br /> days advance written notice of its interest to use said parking lot for scheduled event <br /> parking. <br /> SECTION 12. TOXIC WASTE CLEAN -UP <br /> Emerald Valley shall have no obligation and shall assume no liability for any and all <br /> costs associated with any governmentally- required clean -up or removal of toxic waste <br /> resulting from the prior use of the Premises by any individual or entity other than Emerald <br /> Valley. <br /> r <br /> WP bc/sc/00129/C 7 <br />
