8.2.2. The terms of any assignment shall include a covenant by the assignee that it <br /> assumes and agrees to pay or perform all of Emerald Valley's obligations under this lease. <br /> No assignment shall release Emerald Valley of its obligations under this lease unless County <br /> so agrees in writing. <br /> 8.3 RIGHT TO SUBLEASE. Emerald Valley shall not sublet all or any part of the <br /> . Premises or the improvements on the Premises or assign, extend or renew any sublease <br /> without the prior written consent of County, which consent must comply with ORS 275.330. <br /> SECTION 9. INSURANCE <br /> 9.1 INSURANCE COVERAGES REQUIRED. Emerald Valley shall procure and <br /> continuously maintain during the term of this lease, the following types of insurance: <br /> COMMERCIAL GENERAL LIABILITY insurance covering bodily injury, personal <br /> injury and property damage with a combined single limit of not less than $1,000,000. The <br /> liability insurance shall be endorsed to name Lane County as additional insured with respect <br /> to the use, occupancy and condition of the Premises. <br /> 9.2 GENERAL INSURANCE PROVISIONS. Insurance coverages required by this <br /> lease shall: <br /> 9.2.1 Be obtained from insurance companies authorized to do business in the State <br /> of Oregon. <br /> 9.3 CERTIFICATE OF INSURANCE. As evidence of the insurance coverages <br /> required under this lease, Emerald Valley shall furnish a certificate of insurance to Lane <br /> County. The certificate will specify parties who are Additional Insureds and must include <br /> a notice provision regarding cancellation. <br /> 9.4 CONTINUATION OF COVERAGE. Emerald Valley shall not cancel, <br /> materially change, or not renew insurance coverages and shall notify Lane County of any <br /> material reduction or exhaustion of aggregate limits. <br /> 9.5 RESPONSIBILITY FOR PAYMENT OF DAMAGES. Nothing contained in <br /> these insurance requirements is to be construed as limiting the extent of Emerald Valley's <br /> responsibility for payment of damages resulting from Emerald Valley's operation under this <br /> lease. <br /> 9.6 INDEMNITY/HOLD HARMLESS. Emerald Valley agrees to indemnify, defend <br /> and hold Lane County harmless from all damages, losses and expenses including but not <br /> limited to attorney fees and to defend all claims, proceedings, lawsuits and judgments arising <br /> out of or resulting from Emerald Valley's use and occupancy of the Premises, or failure to <br /> use and occupy the Premises, under this lease. <br /> WP bc/sc/00129/C 6 <br />
