insurance shall cover liability arising from all activities on the Premises, seven days per week, <br /> twenty -four hours per day. <br /> 9.2 General Insurance Provisions. Insurance coverages required by this lease shall be <br /> obtained from insurance companies authorized to do business in the State of Oregon. <br /> 9.3 Certificate of Insurance. As evidence of the insurance coverages required under this <br /> lease, Emerald Valley shall furnish a certificate of insurance to the City. The certificate will specify <br /> parties who are Additional Insureds and must include a notice provision regarding cancellation. <br /> 9.4 Continuation of Coverage: Emerald Valley shall not cancel, materially change, or <br /> not renew insurance coverages and shall notify the City of any material reduction or exhaustion of <br /> aggregate limits. <br /> 9.5 Responsibility for Payment of Damages. Nothing contained in these insurance <br /> requirements is to be construed as limiting the extent of Emerald Valley's responsibility for payment <br /> of damages resulting from Emerald Valley's operation under this lease. <br /> 9.6 Indemnity / Hold Harmless. Emerald Valley agrees to indemnify, defend and hold <br /> the City harmless from all damages, losses and expenses, including but not limited to attorney fees, <br /> and to defend all claims, proceedings, lawsuits and judgments arising out of or resulting from <br /> Emerald Valley's use, occupancy and maintenance of the Premises, or failure to use, occupy and <br /> maintain the Premises, under this lease. <br /> Section 10. Relocation of Leased Premises and Improvements. <br /> Emerald Valley and City agree and acknowledge that the Premises is a small parcel existing <br /> within a larger, City -owned public park known as Alton Baker Park, and that development of said <br /> park is a continuing function and responsibility of City. City intends to maintain bicycle motocross <br /> as a use for a portion of Alton Baker Park, and City acknowledges the public benefit of Emerald <br /> Valley's private development of its existing facility prior to the execution of this lease. <br /> Any relocation of the Premises and improvements thereon shall be the responsibility of the <br /> party requesting relocation and said party shall be responsible for all costs associated with relocation. <br /> Any relocation shall result in a track facility that is of substantially the same condition and <br /> quality as the then- existing track, as agreed upon by both parties. <br /> • <br /> If the City requests relocation, relocation shall occur and be effected in a manner which does <br /> not interfere with or interrupt the services and racing scheduled by Emerald Valley. <br /> Section 11. Additional Parking. <br /> If Emerald Valley desires additional special event parking at the University of Oregon Autzen <br /> Stadium parking lot, Emerald Valley shall make arrangements for such parking with the University. <br /> Lease - Page 6 DRAFT - FOR DISCUSSION ONLY- 9/4/02 <br />
