8.1.1 The mortgage or other lien shall be subject to all of the terms and conditions <br /> of this lease and to the rights and interests of City except as specifically provided to the <br /> contrary in this lease, and <br /> 8.1.2 Emerald Valley shall promptly notify City of the creation of each such <br /> mortgage or other lien and deliver to City a true copy of the note and mortgage or other lien <br /> documents. <br /> 8.1.3 The mortgagee shall be obligated to transfer the mortgage to relocated <br /> Premises, if a relocation occurs under Section 10 below. <br /> 8.2 Assignment. <br /> 8.2.1 Emerald Valley shall not assign or otherwise transfer Emerald Valley' s interest <br /> in this lease or the estate created by this lease without the prior written consent of City, which <br /> consent shall not be unreasonably withheld. In granting or withholding such consent, City <br /> shall consider the financial net worth and managerial experience of the proposed assignee <br /> regarding BMX tracks and facilities, the demonstrated ability of the proposed assignee to <br /> perform the express obligations of this lease, including the stated purpose of providing an <br /> activity for youth of the community in the form of a sport known as BMX, and any other fact <br /> necessary to City's decision - making, as required of an Oregon government entity. <br /> 8.2.2 The terms of any assignment shall include a covenant by the assignee that it <br /> ass , es and agrees to pay or perform all of Emerald Valley's obligations under this lease. <br /> asst: • ent shall release Emerald Valley from its obligations under this lease unless <br /> County so a: ees in writing. ` 6 <br /> :. .3 Emerald Valley shall not sublet all or any part of the Premises or the v" <br /> improvements on the Premises or assign, extend or renew any sublease without the prior <br /> written consent of City. <br /> 8.2.4 For purposes of this section, "assignment" shall include not only the transfer <br /> of the rights and obligations of Emerald Valley pursuant to this lease, but also any other <br /> contract, management agreement or other agreement by which Emerald Valley delegates any <br /> of its rights or duties under this lease to any other person or entity or authorizes such other <br /> person or entity to operate, sponsor or conduct events on the leased Premises. <br /> Section 9. Insurance. <br /> 9.1 Insurance Coverages Required. Emerald Valley shall procure and continuously <br /> maintain during the term of this lease the following types of insurance: commercial general liability <br /> insurance covering bodily injury, personal injury and property damage with a combined single limit <br /> of not less than $1,000,000. The liability insurance shall be endorsed to name the City of Eugene <br /> as an additional insured with respect to the use, occupancy and condition of the Premises.
