INTERGOVERNMENTAL AGREEMENT <br /> THIS AGREEHENT entered into by and between LANE COUNTY, a political <br /> subdivision of the State of Oregon, hereinafter referred to as COUNTY, the CITY <br /> OF EUGENE, a municipal corporation, hereinafter referred to as CITY, and EUGENE <br /> SCHOOL DISTRICT 4J, hereinafter referred to as 4J. <br /> RECITALS <br /> 1. ORS Chapter 190.010 provides that units of local government may <br /> enter into agreements for the performance of any and all functions and <br /> activities that a party to the agreements, its officers or agents, have <br /> authority to perform. <br /> 2. COUNTY, CITY, and 4J have established a policy of mutual cooperation <br /> on projects of mutual benefit and of benefit to the public at large. <br /> 3. The parties to this agreement have determined that a combined <br /> request for proposal (RFP) for downtown fueling services would generate <br /> favorable prices on fuel and reduce duplication of effort. <br /> 4. The parties to this agreement are intended to and shall be deemed as <br /> independent contractors in performing duties and obligations assumed hereunder. <br /> Each agency shall supervise and direct the performance of its duties and <br /> obligations and shall determine the means, methods, techniques, sequences and <br /> procedures of performance. <br /> 5. Whereas each agency owns and operates certain motor vehicles, and <br /> would benefit from a downtown fueling location in close proximity to operations <br /> where said vehicles are located, <br /> NOW, THEREFORE, in consideration of the mutual covenants and conditions <br /> set forth herein, the parties agree as follows: <br /> 1. The COUNTY, CITY and 4J shall cooperate in obtaining a mutually <br /> beneficial price agreement, with a vendor, for the provision of Fuel Services <br /> in the downtown area for use by their respective vehicles. <br /> 2. Each member agency shall be solely responsible for making payment to <br /> the vendor for fuel dispensed into their respective vehicles. <br /> 3. Each member agency shall have the right to terminate their <br /> participation in this agreement, without cause, giving thirty (30) days prior <br /> written notice to the other parties. Any subsequent billings or charges for <br /> fuel and fuel services shall remain the obligation of that agency. <br /> 4. This agreement shall be valid for the life of the price agreement <br /> with the successful vendor providing fuel and fuel services. <br /> 5. Pursuant to 1989 OR Laws Ch. 684, all employers working under this <br /> Agreement are subject employers that will comply with ORS 656.017, in regard to <br /> Workers Compensation coverage. <br />
