ESCROW INSTRUCTIONS <br />ESCROW NO. <br />Date: <br />Page 2 of 2 <br />If a controversy shall arise between the parties hereto or with any third person, you are hereby instructed to disburse <br />funds and process other escrow matters as per directions from City. In the event of any controversy whether or not <br />resulting in litigation, or in the event of an action to recover your expenses or charges, both parties agree hereto, <br />that you shall be entitled to reasonable attorney's fees and reimbursement for your expenses will be paid solely by <br />Developer. <br />This escrow shall terminate when all funds deposited herein, together with the interest thereon, have been <br />disbursed. <br />IT IS UNDERSTOOD BY THE PARTIES SIGNING THE ABOVE OR ATTACHED INSTRUCTIONS THAT THE <br />INSTRUCTIONS ARE THE COMPLETE INSTRUCTIONS BETWEEN THIS FIRM AS AN ESCROW AGENT AND <br />YOU AS A PRINCIPAL TO THE ESCROW TRANSACTION. THESE INSTRUCTIONS MAY NOT INCLUDE ALL <br />THE TERMS OF THE AGREEMENT WHICH IS THE SUBJECT OF THIS ESCROW.
