AGREEMENT made April 23, 2007, between <br />CARRIE PETERSON. EUGENE PARKS & OPEN SPACES hereinafter referred to as "Purchaser" and <br />JAY FRASIER, MAGICIAN hereinafter referred to as "Artist". VU Q-,, <br />2. DATE[S] and TIME[S] of engagement: SUNDAY, APRIL 29, 2007. TIME: 1:40um TO 2:00om <br />a. Location/Set-up Time: McDONALD THEATRE, 1010 WILLAMETTE, EUGENE. OREGON. J~ <br />3. KEY PERSONNEL: Changes in the personnel above must be approved by Purchaser before or during engagement. <br />4. JOB DESCRIPTION/PURCHASER'S REQUIREMENTS: 20-MINUTE SHOW FOR FILM FESTIVAL,09MMMSMUN <br />AUDIENCE TO CONSIST MOSTLY OF ELEMENTARY SCHOOL AGES, PLUS PARENTS AND SIBLINGS. <br />5. ARTIST[S] INDEPENDENT CONTRACTOR (Leader or Spokesperson) PARTNERSHIP, OR JOINT ENTERPRISE. <br />a. Pursuant to Paragraph 4, Artist shall at all times have complete supervision, direction and control over the services of <br />personnel, on this engagement and expressly reserves the right to control the manner; means and details of the <br />performance of services to fulfill the entertainment requirements. <br />b. The Artist executes this agreement as a self-employed unit, not as an employee of the Purchaser. Responsibility for filing <br />and payment of payroll taxes and charges under applicable federal and local law will be assumed by the Artist. <br />6. CONTRACT PRICE:$200.00 TOTAL <br />a. To be paid as follows: R <br />PAYABLE IN FULL TO JAY FyASIER ON 4/29/07, AT TIME OF PERFORMANCE. <br />b. Unless otherwise specified, contract price shall include Agent's commission. <br />7. AGENT PROVISIONS: <br />a. If Artist is re-booked by Purchaser within 12 months from the performance date of this agreement, Artist shall <br />pay to Courtell Talent Agency a commission of 15% of any fees received. Artist agrees to refer any queries resulting from <br />this engagement to Courtell Talent Agency for processing. <br />b. The Agency is acknowledged to have fully performed upon the commencement of this engagement. It shall not be liable <br />for the default of a Purchaser or the non-performance of the Artist. No changes in the contract affecting Agent's <br />commission shall be made without the written approval of Agent. <br />8. The recording, reproduction, or transmission of Artist's performance is prohibited absent written consent of Artist. <br />9. UNION PROVISIONS: Members of unions or guilds, which may include the leader and members of his unit, agree to sole <br />responsibility for complying with the rules and regulations of said unions or guilds of which they may be members. Agent does <br />not represent that Artist is in any way affiliated with any musician's union. <br />10. ATTORNEY'S FEES: In the event legal proceedings are instituted as a result of any breach of this agreement or exhibits hereto, <br />or to enforce any term or condition herein, the prevailing party shall be entitled to a reasonable sum as attorney's fees including <br />attorney's fees upon appeal and all costs and expenses incurred in connection with such proceedings. <br />11. Commencement of engagement together with physical delivery of this contract is deemed to be verification of an oral <br />agreement and acceptance of all terms by the Purchaser. <br />12.
