AGREEMENTS: <br />1. Sublease. Sublessors hereby sublease to the Sublessee the nonexclusive right to use the <br />New Tower and the New Equipment Building as provided in this sublease. Specifically, the <br />Sublessee will have the right to install up to 13 antennas on the New Tower - two microwave dish <br />antennas not to exceed eight feet in diameter, three receiving antennas, four VHF antennas, and four <br />UHF antennas. The Sublessee will also have the nonexclusive right to occupy the New Equipment <br />Building for the .purpose of installing and maintaining eight rack units as described in Exhibit 2 <br />attached-hereto, and operating transmitters, cabling, generators, and related equipment for the receipt <br />and transmission of telecommunications signals with the antennas installed on the New Tower. The <br />Sublessee's antennas and equipment is hereafter collectively referred to as the " Sublessee's <br />Transmission Facilities." The Sublessors reserve the right to sublease all or any portion of the <br />Premises and to authorize other persons to use the New Tower and New Equipment Building so long <br />as such other subtenants or persons do not use the Premises, the New Tower, or the New Equipment <br />Building in a manner that unreasonably interferes with the Sublessee's use. <br />If Sublessee needs additional space in the New Equipment Building or on the New Tower, <br />Sublessee shall make a written request to Sublessors for additional space. Sublessors shall allocate <br />additional space to Sublessee if such space is available. The sublease of the additional space shall <br />be governed by the same terms and conditions as this sublease except for rent, which shall be set <br />according to the Sublessors' then current rent schedule. <br />Sublessee shall adhere at all times to the Minimum Site Standards set forth in Exhibit 3, as <br />modified from time to time by Sublessors. <br />2. Term. <br />2.1 Initial Term. Unless earlier terminated under the terms of this sublease, this <br />sublease will run for a period commencing on the first day on which the Sublessee wholly or <br />partially occupies the New Tower and New Equipment Building or on the date of substantial <br />completion of the New Tower and New Equipment Building, whichever is earlier, and terminating <br />at 12 midnight on October 31, 2018. Notwithstanding the foregoing sentence, Sublessee shall have <br />the right to terminate this Sublease upon 60 days' prior written notice to Sublessor if the Sublessee's <br />use of the Premises becomes illegal, impracticable, or if antenna transmission for Sublessee's <br />purposes becomes obsolete. <br />2.2 Early Termination.
