0 4! <br />STATEMENT OF TERMS AND CONDITIONS FOR WUN PARK WI-FI PROJECT <br />Funded by the City of Eugene Parks and Open Space <br />and City of Eugene Information Services Division <br />(Project on Property owned by Parkside Place LLC) <br />The parties to this Vendor Agreement are CITY OF EUGENE, Owner, and PARKSIDE <br />PLACE LLC, Vendor. The effective date of this agreement is October 15, 2009. <br />The Vendor has agreed to undertake the project more fully described in Exhibit A (the <br />"WUN Park Wi-Fi Project"). The Project is intended to provide a public benefit to the <br />WUN Park. <br />This document and attached Exhibit A describe the terms and conditions for the WUN <br />Park Wi-Fi Project under which the Owner will disburse funds for the Project to the <br />Vendor. <br />In CONSIDERATION OF THE MUTUAL AGREEMENTS contained herein, the parties <br />agree as follows: <br />Term of Agreement. This agreement shall commence October 15, 2009, and <br />expire October 14, 2012. The Owner may at its sole discretion offer the Vendor <br />an extension option for an additional three (3) year period on the same terms <br />except for the fee which shall be mutually agreed upon in writing. <br />2. Schedule. The Vendor shall complete the Project as submitted in Exhibit A <br />(attached). The installation and initial operation of WUN Park Wi-Fi Project shall <br />be completed by November 24, 2009. <br />3. Coordination. The Vendor must coordinate the operation of the Project with <br />[Jackie Hallett or Bob Blanchard] or a successor appointed by the Owner. <br />Required coordination includes and is limited to specifying certain aspects of the <br />operation of the WUN Park Wi-Fi Project wireless internet service made available <br />in the WUN Park: (a) incoming or outgoing packets to be blocked, and (b) the <br />optional opening web page. <br />4. Hours of Operation. The Owner shall have sole authority to determine the daily <br />hours of operation for WUN Park Wi-Fi Project. The Vendor agrees to operate <br />the WUN Park Wi-Fi Project in accordance with the hours of operation <br />determined by the Owner and communicated to the Vendor in writing. <br />5. Fee. The Owner shall fund the Project as provided in Exhibit A in an amount not <br />to exceed $4800 (Four thousand eight hundred Dollars) for the term of this <br />agreement divided into three annual payments of $2400 for the first year, and <br />$1200 for the second and third years. <br />Statement of Terms and Conditions for WUN Park Wi-Fi Project Page 1 <br />
