S TRADE SERVICES CONTRACT (Non - Facility) BETWEEN: The City of Eugene, an Oregon Municipal Corporation AND: Advanced Security CONTRACT NO.: 2008 -05307 EFFECTIVE DATE: September 1, 2007 RECITALS (City) (Contractor) A. Contractor is engaged in the business of security officer services, and has obtained and currently holds all licenses, permits, certifications, bonds or other authorization required by Federal, State or local law or regulations to engage in such business. B. City desires to engage Contractor to perform the services described in the attached Exhibit C (the "Services "). Contractor has represented that it is qualified to perform the Services, and desires to enter into this contract with City on the terms set forth below. AGREEMENT Engagement. City hereby engages Contractor to perform the Services, and Contractor agrees to perform the Services, according to the terms and conditions set forth herein and in the following exhibits: Exhibit A - City of Eugene Standard Contract Provisions Exhibit B — Requirements /Specifications Exhibit C — Schedule of Hourly Rates 2. Term. The term of this contract shall be valid for 3 years upon execution with the option to renew for an additional 2 year period, unless earlier terminated in accordance with paragraph 16. 3. Consideration. As consideration for performance of the Services, City shall pay Contractor monthly upon billing based on the schedule of rates, provided by Contractor at the hourly rate bid. The cost c services will, be reviewed b °y both parties prior to'September each year. If this contract commences or terminates on a date which is not the first or last day of the month, the maximum fee for that month shall be prorated, based on the number of days in the month.
